Die Rechtsprechung des EuGH zur Niederlassungsfreiheit hat sich in besonderem Maße auf das autonome Internationale Gesellschaftsrecht ausgewirkt; sie hat aber nicht zur Konsistenz in diesem Bereich beigetragen. Daher war eine entsprechende Regelung auf europäischer oder nationaler Ebene Gegenstand verschiedener Reformüberlegungen, wie z. B. einer Kommission des Deutschen Rates für IPR im Jahr 2007/2008. Dieser Vorschlag konnte sich allerdings nicht durchsetzen. In letzter Zeit haben eine von der EU Kommission beauftragte Studie zum Internationalen Gesellschaftsrecht und ein Konsultationsprozesses im Sommer 2017 sowie ein Regelungsvorschlag der GEDIP im Stile einer weiteren Rom-Verordnung eine neue Dynamik in diesem Bereich entfaltet. Vor dem Hintergrund der aktuellen Entwicklungen auf europäischer Ebene ist es Ziel der Untersuchung, einerseits zu einem besseren Verständnis der spezifischen Eigenheiten dieser Regelungsproblematik beizutragen und andererseits der Frage nach einer notwendigen Kohärenz im Europäischen Internationalen Gesellschaftsrecht nachzugehen. Zudem soll aufgezeigt werden, inwiefern die allgemeine IPR-Methodik und insbesondere der neue GEDIP-Entwurf Kohärenz fördern und sicherstellen können.
Die Konzernlegalitätshaftung bietet den überzeugendsten Anhaltspunkt zur Begründung einer Haftung der Muttergesellschaft für Menschenrechtsverletzungen.« 1 Allein die Idee mag vielen als ein Kulturschock oder wenigstens als ein Kulturwandel vorkommen. Während vor allem eine deliktische Haftung der inländischen Muttergesellschaft für Menschenrechtsverletzungen national wie international diskutiert wird, 2 richten nur wenige ihren Blick auf das Gesellschaftsrecht. 3 Der Begriff Corporate Social Responsibility 4 legt dies jedoch nahe. Grund genug, sich zu überlegen, welchen Beitrag das Gesellschaftsrecht zu einer Haftung für Menschenrechtsverletzungen leisten kann. Im Mittelpunkt meines Beitrags steht die Frage: Welches Potential hat die Corporate Compliance 5 für den Menschenrechtsschutz gegenüber transnational tätigen Unternehmen? A.
Seit Savigny ist das IPR geprägt von der Verweisungsmethode. Mit dem EU-Primärrecht tritt ein Gegenspieler auf den Plan, der das traditionelle System zu überlagern droht, indem über die Grundfreiheiten und die Freizügigkeit Einfluss auf das IPR ausgeübt wird. Dies zeigt sich in der bisherigen EuGH-Rechtsprechung zum Internationalen Gesellschafts-und Namensrecht, in welcher der Gerichtshof auf Basis des Primärrechts Vorgaben aufgestellt hat, ohne auf die (nationalen) Verweisungsnormen einzugehen. Diese "zweite Spur" der Ermittlung des anwendbaren Rechts ist schon vor knapp 20 Jahren als Anerkennungsmethode bezeichnet worden. Nach bisheriger Interpretation der Rechtsprechung beschränkt sie sich auf die beiden genannten Rechtsgebiete. Insbesondere Problemlagen aus dem Bereich des kulturell sensitiven Internationalen Familienrechts wie die Anerkennung gleichgeschlechtlicher Ehen sollen nach h. M. nicht von der Anerkennungsmethode erfasst sein. Jedoch wecken Entwicklungen wie die EuGH-Entscheidung Coman und die Diskussion um die Minderjährigenehe im deutschen IPR Zweifel, ob die Beschränkung auf jene Rechtsgebiete dem Integrationsgedanken des Primärrechts entspricht. Es stellt sich daher die Frage nach einer dogmatisch sinnvollen Verzahnung von Kollisionsrecht und primärrechtlichen Ergebnisvorgaben.* Der Verfasser dankt Marc-Philippe Weller, Lucienne Schlürmann und Jana Smela für die kritische Durchsicht des Manuskripts und wertvolle Hinweise.
