ZusammenfassungDie Diskussion um Einnahmensteigerungen im Rahmen der Rechtevergabe für die Fußball-Bundesliga hat die Zentralvermarktung erneut in die öffentliche Wahrnehmung gerückt. Medial begleitet wurde die vom Bundeskartellamt (BKartA) durchgeführte Prüfung der Zentralvermarktung ab der Saison 2017/18 nicht zuletzt durch den lukrativen TV-Vertrag der englischen Premier League, aber auch durch das Bestreben einzelner Bundesligavereine an einer (stärkeren) Einzelvermarktung oder durch das Plädoyer für einen Ausschluss von Werksclubs bzw. Mäzenvereinen von den gemeinsamen Einnahmen der Zentralvermarktung. Relevant ist die Prüfung durch das BKartA insofern, als die Zentralvermarktung an sich als kartellrechtswidrige Wettbewerbsbeschränkung gem. Art. 101 Abs. 1 AEUV bzw. § 1 GWB eingestuft wird. Dabei stellt sich nicht zuletzt die Frage, wie die Neuerung des Alleinerwerbsverbots kartellrechtlich zu beurteilen ist, so z. B. im Hinblick auf die Möglichkeiten einer Freistellung vom Kartellverbot (Art. 101 Abs. 3 AEUV bzw. § 2 GWB).
ZusammenfassungDie fortschreitende Digitalisierung durchdringt zunehmend das gesellschaftliche Leben und wirtschaftliche Handeln. Entscheidungen werden in vielen Bereichen durch Algorithmen ausgeführt und gesteuert. Beispielsweise können Unternehmen dank Programmcodes Preise und Mengen optimieren, während Konsumenten die Möglichkeit haben, ihre Such- und Transaktionskosten mittels Vergleichsportalen zu verringern. Für den freien Wettbewerb und das Kartellrecht im Besonderen kann der unternehmerische Einsatz von Algorithmen eine Herausforderung darstellen, wenn hierdurch ein wettbewerbsbeschränkendes Zusammenwirken begünstigt wird. Abhängig vom Einsatzgebiet und der Funktionsweise lassen sich Algorithmen in unterschiedliche Kategorien einordnen, anhand derer das Gefahrenpotenzial und mögliche Gegenmaßnahmen beurteilt werden können. Technische Entwicklungen auf dem Gebiet der Künstlichen Intelligenz (KI) lassen bereits jetzt erahnen, dass der Faktor Mensch zukünftig weiter in den Hintergrund rücken wird und Entscheidungen autonom von Algorithmen getroffen werden könnten. Um den Handlungsrahmen für Kartellbehörden zu stärken, können Aspekte wie das Feststellen des Zusammenwirkens, die Zurechnung sowie die (Umkehr der) Beweislast in Betracht gezogen werden. Für den rechtskonformen Umgang mit Algorithmen kommt es aus Sicht von Unternehmen darauf an, welche Maßnahmen erforderlich sein können, um einen Rechtsverstoß zu verhindern. Dies schließt die Überlegung ein, ob die (angemessene) Nutzung von Algorithmen (hinsichtlich Auswahl und Design) in ein Compliance-Management-System eingebettet werden kann und falls ja, ob die Rechtsordnung ein derartiges System grundsätzlich anerkennen würde.
