Este estudo buscou verificar os níveis de divulgação do risco operacional de 24 bancos do país e de 9 do exterior, segundo recomendações do Comitê da Basiléia, em 31 de dezembro de 2003 e 31 de dezembro de 2004. Realizaram-se revisão teórica e pesquisa documental, com o propósito de analisar o conteúdo de relatórios anuais e outros instrumentos de divulgação. A amostra baseou-se no relatório "50 maiores bancos" do Banco Central do Brasil. A análise empregou 9 categorias e 18 subcategorias baseadas em recomendações do Comitê, na revisão teórica e em pesquisa exploratória em que se coletou opinião de profissionais relativa às categorias e subcategorias. Aplicaram-se testes não paramétricos. Constatou-se que os níveis de divulgação de bancos do país e do exterior em 2003 foram, respectivamente, 17,13% e 77,78%, e em 2004, 24,31% e 81,48%. Os testes indicaram que os bancos do exterior divulgaram mais subcategorias e que a quantidade de subcategorias divulgadas pelos dois grupos de bancos aumentou em 2004.
Este artigo busca analisar as características dos conselhos de administração de quatro bolsas com atuação internacional e compará-las, ressaltando suas similaridades e distinções. A pesquisa é descritiva e qualitativa, de natureza bibliográfica e documental. Examinaram-se documentos nos sítios eletrônicos da CME, HKEx, Deutsche Börse AG e BM&FBovespa. Essas bolsas foram selecionadas por serem as maiores em valor de mercado das suas ações, conforme apurado no sítio eletrônico da Reuters em fevereiro de 2009. O tratamento dos dados contemplou a análise de conteúdo, empregando-se 12 itens para avaliação de cada bolsa, os quais foram baseados no referencial teórico da pesquisa. Os resultados descrevem as bolsas participantes do estudo e apresentam os 48 itens observados que dizem respeito às características dos conselhos de administração dessas entidades, destacando as principais semelhanças e diferenças encontradas e evidenciando na composição dos conselhos a influência do ambiente institucional do país em que a bolsa possui sua sede.Palavras-chave: governança corporativa, conselhos de administração, bolsas.
Brazilian regulations determined from the 2nd half of 2007, the establishment of the ombudsman’s offices as an organizational component of banks giving them authority to mediate conflicts. The objective of this study is to identify the characteristics pertinent to the ombudsman’s offices of 26 banks operating in Brazil. Parallel to that it is sought to verify whether these characteristics showed significant differences in the analyzed period, from January 2008 to June 2011, and met or exceeded the regulatory forecast. A descriptive study is carried out, one that includes literature review and documentary research, analyzing the content of public documentation regarding the ombudsman’s offices. The non-probabilistic sample was based on the ‘50 Largest Banks’ report of the Central Bank of Brazil, June 2011. The analyses employed 2 items (‘Characteristics of Management’ and ‘Characteristics of Corporate Governance’) and 19 sub-items based on literature review and expert opinion on the items and sub-items. Non parametric tests were employed in the analyses. From the 494 observations on the sub-items, the main results show that the item ‘Characteristics of Management’ has 67.09% of sub-items present, and the item ‘Characteristics of Corporate Governance’ has 70.77% of sub-items present. There were no significant differences between the percentages of sub-items associated with these two items, and among the sub-items present, those which meet the regulatory forecast prevailed. The study can subsidize reflections of academics, regulators, customers, users and other stakeholders in the characterization of the ombudsman’s offices, and can help to understand the influence of regulation on the disclosure of ombudsman’s offices in banks in Brazil
O objetivo principal deste artigo é identificar as responsabilidades dos órgãos de controle relativas às ouvidorias de 26 bancos no Brasil. Subsidiariamente, verificam-se diferenças entre as responsabilidades identificadas de janeiro de 2008 a junho de 2011 e realiza-se estudo descritivo e qualitativo, contendo pesquisa documental. A amostra baseia-se no relatório "50 Maiores Bancos", do Banco Central, e para tratar os dados emprega-se análise de conteúdo, segmentando-se as responsabilidades em três categorias relativas aos seguintes órgãos de controle: conselho de administração, auditoria interna e comitê de auditoria e auditoria independente. Empregam-se testes não paramétricos nas análises, nos quais verificaram-se 30,77% das categorias presentes, apurando-se diferenças entre percentuais de duas categorias. Para 50% dos bancos, não houve categorias presentes e para 11,54% deles todas as categorias estiveram presentes. Evidências sugerem aprimorar a transparência das responsabilidades dos órgãos de controle, buscando reduzir assimetrias informacionais referentes aos processos decisórios de controle de bancos no Brasil.
