Purpose From the agency theory’s point of view, this paper aims to analyze corporate governance mechanisms about the characteristics of the companies quoted in the segments Bovespa Mais and Bovespa Mais 2 and their influence on the creation of value in preparation for the opening of the initial public offering (IPO). Design/methodology/approach A quantitative approach was adopted to achieve the proposed objective using the panel data with fixed effects and secondary data collected on the Comissão de Valores Mobiliários website, using statistical software Stata® 13.0 for statistical tests. The population comprises non-financial companies belonging to the Bovespa Mais and Bovespa Mais Level 2 groups, as the survey sample took into account the period of adhesion of the companies, totaled in 15 companies, which cover the period from 2008 to 2019. The selected variables correspond to the ownership structure’s characteristics, then the board’s composition and the fiscal council as the body responsible for supervising the administrators’ acts. Findings The main results indicate that the number of independent members on the board of directors and the supervisory board’s participation positively influence market performance. However, it also reveals that the concentration of ownership brings fundraising for other companies’ acquisitions, risk reduction concerning information asymmetry between investing powers. Practical implications This paper advances a comparative institutional perspective to explain capital market choice by firms making an IPO in a foreign market. This paper finds that internal governance characteristics (founder-chief executive officer, executive incentives and board independence) and external network characteristics (prestigious underwriters, degree of venture capitalist syndication and board interlocks) are significant predictors of foreign capital market choice by foreign IPO firms. Social implications While product market choices have been central to strategy formulation for firms in the past, financial markets’ integration makes capital markets an equally crucial strategic decision. This paper advances a comparative institutional perspective to explain capital market choice by firms making an IPO in a foreign market. Originality/value This situation generates value to shareholders and is perceived by the market and, ultimately, generates a direct relationship with the market performance of companies. While product market choices have been central to strategy formulation for firms in the past, financial markets’ integration makes capital markets an equally major strategic decision.

Resumo Na área de estudos organizacionais, o interesse dos pesquisadores em utilizar fontes e acervos históricos em suas pesquisas cresce a cada dia (Rowlinson, Hassard, & Decker, 2014; Yates, 2014). Como forma de enriquecer e aprofundar a discussão sobre esse movimento, a presente pesquisa tem por objetivo refletir sobre possíveis contribuições das fontes reunidas, sistematizadas e produzidas pela Comissão Nacional da Verdade (CNV). Instituída para investigar as graves violações dos direitos humanos cometidas no regime da ditadura civil-militar brasileira, a CNV (a partir de seu acervo) oferece aos pesquisadores das organizações novas versões dos fatos históricos, o que torna possível não só problematizar e rever versões históricas oficiais hegemônicas, mas também investigar fenômenos organizacionais sob outras perspectivas. Assim, após a descrição do processo de constituição e de composição do seu acervo documental, foram elencadas quatro avenidas de pesquisas iniciais: (a) sobre o apoio e a participação da sociedade civil na constituição e manutenção do governo civil-militar brasileiro; (b) sobre a formação de redes de agentes sociais envolvidos no processo de criação e de trabalho da CNV; (c) sobre as relações de trabalho durante o período, como a atuação dos sindicatos ou as práticas de recursos humanos sob um regime autoritário; e (d) sobre o tema da história e memória das empresas.

RESUMO O presente estudo tem como objetivo maior levantar os impactos da adoção das boas práticas de Governança Corporativa sobre a área de Controladoria das empresas que atuam no Novo Mercado da BM&FBovespa (Bolsa de Valores de São Paulo). Em termos metodológicos, procedeu-se a uma pesquisa do tipo qualitativa, com três formas de investigação: bibliográfica, documental e questionário fechado. A análise dos dados realizou-se por meio de questionário fechado sendo ainda apoiada por ferramentas e procedimentos estatísticos e interpretativos. Os principais resultados foram: na estrutura de planejamento, isto reforça o poder que as boas práticas exercem na definição destas estruturas. Entretanto, a estrutura denominada contabilidade societária, sofreu maior influência, em decorrência da adoção das melhores práticas. A governança corporativa influenciou nos seguintes grupos de funções: contábil, gerencial estratégica, planejamento organizacional e gestora da informação, impactando na qualidade da informação contábil gerada pela área de controladoria, minimizando a assimetria da informação e os possíveis conflitos de agência. O presente estudo aponta e conclui que houve impactos da adoção das boas práticas de Governança Corporativa sobre a área de Controladoria nas empresas investigadas.
