The Brazilian Fiscal Council can mitigate the consequences of the separation between cash flow and voting rights that is one of the problems of corporate governance in Brazil. The Fiscal Council that is set up in Brazilian companies should be composed of professionals who are nominated by the minority -noncontrolling common and preferred stockholders -and the majority shareholders. Its main function is to monitor the activities and financial statements of the company. The purpose of this chapter is to test, even in a weak legal system, whether there is any legal mechanism to increase the number of shareholders monitoring the management to get better results for them. As a consequence, an active Fiscal Council, as a reflection of better corporate governance, is associated with higher returns on equity, Tobin's Q and dividend payout, smaller betas, debt to equity ratios, lower costs of debt financing and more restrictions on earnings management. We found that the existence of an active Fiscal Council is associated with a higher ROE, which improves the firm's performance. We also found that firms with Fiscal Councils engage significantly less in their earnings management. The Brazilian Fiscal Council is capable of improving the shareholder protection and forcing companies to have better disclosure for their investors. Our research found real benefits for firms with a Fiscal Council in the form of higher returns on equity, lower debt costs and less earnings management. These benefits are important to firms with less corporate governance.
The purpose of this paper is to present the results of a survey with Brazilian listed companies CFOs` trying to identify how these companies determine and manage their payout policy. It was identified that the final decision about dividends is taken by the board of directors, taking into consideration a management proposal sent to them before. Main factors analyzed are net profit and cash generation during immediate previous period. The managers mainly consider interest on own capital (JSCP) and dividends as instruments for payout policy. They believe that share repurchase is advantageous to shareholders; however, it is viewed more as an investment decision by the company than a dividend policy. The interest on own capital is broadly used because it provides a fiscal benefit to the company. It seems that management compensation policy affects dividends payout. This suggests an agency conflict between managers and shareholders.
There is not general support to explain the correlation among the macroeconomic variables and share returns in different countries and time. The unique characteristics of the Brazilian economy have changed deeply over the last years, thus the purpose of this study is to explore the correlation among the macroeconomic variables and share returns in Brazil from 2000 to 2010. The study investigates the causality relationships among real stock returns, basic interest rates, GDP, inflation and the market expectation of future behavior of these macroeconomic variables. The method used to find the correlation among the variables studied was the Stepwise Multiple Regression. The results show that basic interest rates and GDP affect the stock returns, however inflation and market expectation of future behavior of these macroeconomic variables affect stock returns insignificantly.
O objetivo desta pesquisa é avaliar os impactos da adoção das IFRS (IAS 7, IAS 19, IAS 32 e IAS 39) nos indicadores econômico-financeiros de instituições financeiras brasileiras, por meio dos indicadores de solvência, estrutura patrimonial e de captação, e de rentabilidade. O método utilizado foi comparar os resultados referentes ao ano de 2009 e que tiveram suas demonstrações financeiras publicadas de acordo com as normas BR GAAP e IFRS. Foram comparadas as médias de cada um dos indicadores econômico-financeiros, calculados em ambos os padrões contábeis e para identificar se as diferenças encontradas eram significativas foi aplicado o teste Mann Whitney. Como teste de robustez foram comparadas as proporções de variações positivas e negativas dos indicadores analisados e para identificar se as diferenças eram significativas foi aplicado o teste chi-quadrado. Os resultados encontrados sugerem que o ajuste ao valor recuperável de empréstimos e adiantamentos e o ajuste ao valor justo de ativos financeiros influenciaram para que a carteira de crédito e o patrimônio líquido das instituições financeiras analisadas apresentassem de maneira geral valores maiores quando demonstradas em IFRS, o que elevou os indicadores Independência Financeira; Empréstimos/Depósitos e reduziu os indicadores Alavancagem; Participação dos Empréstimos; Retorno sobre o Patrimônio Líquido. Não foi possível constatar nenhuma diferença significativa, provavelmente devido a pequena amostra trabalhada. Esta pesquisa pretende ter contribuído para aprimorar o entendimento dos impactos do processo de convergência da contabilidade das instituições financeiras brasileiras, que por muitas vezes são excluídas das pesquisas por suas particularidades, para o padrão internacional; bem como, para auxiliar os gestores de negócios e os usuários da informação financeira, especialmente aqueles oriundos do mercado de capitais, as autoridades reguladoras e a academia.
Este trabalho procurou testar a teoria da sinalização por meio das notícias veiculadas aos investidores que se referem ao anúncio da distribuição de proventos de 1998 a 2006, para as ações integrantes da carteira teórica do Ibovespa de janeiro a abril de 2006. Para a realização deste artigo, foram efetuados cálculos para verificar a presença de retornos anormais nas datas de anúncio da distribuição de juros sobre capital próprio, dividendos e pagamento simultâneo. Adicionalmente, foram realizados testes nos dias ao redor da data de anúncio, numa janela de 11 dias, incluindo a data da divulgação do pagamento dos proventos na busca de vazamento de informações e para verificar a possibilidade de arbitragem na janela em estudo. Os testes realizados consideraram a presença de retornos anormais e acumulados quando o mercado estava operando em níveis diferentes de volatilidade do mercado e de magnitude do provento anunciado, procurando verificar se os investidores interpretam e penalizam o pagamento de dividendos de maneira simétrica com relação às variações de volatilidade do mercado e de magnitude do provento anunciado. Os resultados evidenciaram a presença de retornos anormais significativos.
