Os nómadas digitais são trabalhadores que desenvolvem a sua atividade profissional com recurso à Internet, não sendo obrigados a comparecer pessoalmente. O nosso objetivo é analisar este fenómeno.O nosso objetivo será alcançado com uma análise jurídica e doutrinária, que é nossa metodologia.Como resultado, verificamos que o nomadismo digital na esfera do contrato de trabalho irá explodir nos próximos anos, não só graças à evolução da tecnologia e ao facto de vivermos num mundo cada vez mais global, mas também como resultado da pandemia causada pela doença de Covid-19. Dentro deste espectro, somam-se as vantagens para o trabalhador, no sentido de poder desempenhar as suas funções laborais em países onde a economia, os aspetos fiscais, familiares ou mesmo o clima lhe permitirão adquirir mais bens e serviços por menos dinheiro. Na perspetiva das empresas, abre-se também a oportunidade de recrutar mão de obra estrangeira ou deslocalizada.Neste contexto, importa salientar, como conclusão, no que respeita ao nomadismo digital dentro dos países que constituem a União Europeia e que constituem o mercado comum europeu, que seria salutar que o legislador europeu tivesse a coragem de dinamizar o nomadismo digital.
Resumo: A classe de créditos subordinados constitui a principal inovação do Código da Insolvência e da Recuperação de Empresas (CIRE) nesta matéria, apesar de existir em outros ordenamentos jurídicos, nomeadamente no norteamericano (Bankruptcy Code), no alemão (Insolvenzordnung) e no espanhol (Ley Concursal). Estes créditos estão taxativamente enumerados no artigo 48º do CIRE e o seu pagamento tem lugar apenas depois de integralmente pagos todos os restantes créditos, por se entender que os credores que integram esta classe devem manter um regime menos favorável, tendo em conta certas razões objetivas que os individualizam e os caracterizam como tal. Por ser uma novidade no ordenamento jurídico português é um tema que divide a doutrina e a jurisprudência e, por isso, controverso em relação a algumas das suas categorias.
RESUMO: Os arts.105º e 240º nº1 do Código das Sociedades Comerciais (CSC) estipulam que o sócio pode exercer o direito de exoneração sempre que a lei ou o contrato da sociedade o permitam. O art.240º nºs 1 e 5 CSC reconhece às partes a possibilidade de indicarem causas estatutárias, onde se prevejam outras possibilidades de o sócio se desvincular da sociedade, tendo em consideração a proibição de constituição de um direito de exercício arbitrário. A sociedade não pode proibir ou restringir o exercício do direito de exoneração, contudo, isto não significa que o sócio não possa ser privado do exercício do direito de exoneração por abuso do direito (art.334º do Código Civil (CC)), uma vez que a sociedade, detentora de poder de controlo, deve verificar se existe legitimidade por parte de quem invoca o direito e se os requisitos do seu exercício estão preenchidos.
