The aim of this paper is to provide a general insight into the questionable nascence of the international custom in the context of cybersecurity and the most relevant attempt to draft a document regarding the subject matter from the Western perspective, taking into account the lack of any widely accepted international convention regarding the cyber security. Moreover, the paper analyzes legal requirements for finding a state responsible for a cyber attack by means of Article 2 of the ILC's Articles on Responsibility of States for Internationally Wrongful Acts. Specifically, it analyzes legal requirements necessary to attribute a certain conduct to a state. Also, it considers if cyber attacks in general can be treated as the use of force within the meaning of article 2.4 of the UN Charter. Moreover, it examines whether the doctrine of due diligence can be used while accusing a state for a breach of its international obligations.
Wywodząca się z systemu common law zasada biznesowej oceny sytuacji (ang. business judgement rule) stanowi element regulacji problematyki odpowiedzialności osób zarządzających spółką wobec spółki lub jej udziałowców i stanowi zasadniczy mechanizm balansujący zakres indemnizacji oraz zwolnienia z odpowiedzialności. Tytułowa zasada opiera się na założeniu, że menedżer jest zwolniony z odpowiedzialności wobec spółki, jeżeli podejmował on działania w dobrej wierze, w warunkach braku konfliktu interesów, z właściwym rozeznaniem, opierając się na racjonalnych przesłankach (w szczególności stosownych opiniach i ekspertyzach) oraz w najlepszym interesie spółki. Zasada biznesowej oceny sytuacji jest coraz częściej wykorzystywana w systemie civil law. Przykłady jej zastosowania można zaobserwować m.in. w Niemczech, Austrii, Szwajcarii, Hiszpanii oraz Czechach. W ostatnich latach podjęto także pierwsze próby wprowadzenia zasady biznesowej oceny sytuacji do polskiego systemu prawnego. Celem niniejszego artykułu jest przedstawienie genezy tytułowej zasady oraz zaprezentowanie kluczowych zagadnień związanych z pojęciem zasady biznesowej oceny sytuacji.
Z dniem 1 lipca 2021 r. katalog spółek handlowych na gruncie prawa polskiego został rozszerzony o nowy typ spółki, jakim jest prosta spółka akcyjna. W założeniu prosta spółka akcyjna ma stanowić nowoczesną formę niepublicznej spółki kapitałowej przeznaczonej w szczególności do realizacji innowacyjnych przedsięwzięć oraz tzw. startupów. Przepisy regulujące funkcjonowanie prostej spółki akcyjnej zawierają nowatorskie rozwiązania na tle dotychczasowych spółek funkcjonujących w polskim prawie, w tym m.in. możliwość swobodnego kształtowania przez akcjonariuszy wewnętrznej organizacji spółki poprzez wybór monistycznego albo dualistycznego systemu organów spółek, a także uregulowanie cywilno-prawnej odpowiedzialności członków organów prostej spółki akcyjnej za szkody wyrządzone spółce zgodnie z zasadą biznesowej oceny sytuacji (ang. business judgment rule). Celem artykułu jest omówienie zasad ponoszenia cywilnoprawnej odpowiedzialności piastunów organów prostej spółki akcyjnej wobec spółki ze szczególnym uwzględnieniem odmienności w stosunku do regulacji dotyczących odpowiedzialności funkcjonariuszy spółki z ograniczoną odpowiedzialnością (art. 293 § 1 k.s.h.) oraz spółki akcyjnej (art. 483 § 1 k.s.h.). W artykule podjęto także próbę oceny najdonioślejszego legislacyjnego novum wprowadzonego do polskiego prawa wraz z wejściem w życie przepisów o prostej spółce akcyjnej, jakim jest unormowanie zasady biznesowej oceny sytuacji w art. 300(125) § 2 k.s.h.
