RESUMENEl Estado Libre Asociado de Puerto Rico se encuentra en crisis. Su situación encierra un complejo conjunto de problemas de carácter jurídico cuya solución dista de ser sencilla. Excluido del ámbito subjetivo de la normativa concursal norteamericana y ante la imposibilidad de aprobar una normativa particular para la isla, el Gobernador reclama una salida, una solución. Pero al margen de cuál sea la decisión por la que finalmente se opte, lo cierto es que la crisis de Puerto Rico constituye el reflejo de una crisis del propio modelo o configuración del Estado Libre Asociado.Palabras clave: concurso; municipalidad; Puerto Rico. ABSTRACTThe Commowealth of Puerto Rico is in crisis. It situation involves a complex set of legal problems whose solution is far from simple. Excluded of the scope of the US bankruptcy laws (Chapter 9) and facing the impossibility of adopting specific rules for the island, Governor demands a solution. But regardless of which decision is finally chosen, it is certain that the crisis in Puerto Rico is the reflection of a crisis of the legal configuration of the Commonwealth it self.

Las SPAC existen desde hace décadas en EE.UU. y suelen ser el último recurso para las pequeñas empresas que, de otro modo, habrían tenido problemas para conseguir dinero en el mercado abierto. Pero recientemente se han vuelto más frecuentes debido a la extrema volatilidad del mercado causada, en parte, por la pandemia mundial. Las SPAC son una de las tendencias más candentes en Wall Street y se han convertido en un tema de gran interés en la actualidad en Europa, hasta el punto de que se ha lanzado una consulta pública en el Reino Unido para introducir nuevas normas para las empresas cotizadas, mientras que en España se ha presentado una modificación de la Ley de Sociedades de Capital el pasado 5 de mayo de 2021. Algunos comentarios recientes han hecho referencia a una burbuja de SPAC e incluso a un boom de SPAC. Sin embargo, algunos de esos comentarios se centran sólo en algunas de las operaciones exitosas, evitando algunas características clave de la complejidad, los riesgos y los costes ocultos de las SPACs.
RESUMENEste trabajo analiza la competencia en el sector aéreo y aeroportuario. Se analiza la liberalización del transporte aéreo y de las actividades aeroportuarias y su incidencia desde el punto de vista de la competencia. Por lo que se refiere al segundo de los aspectos señalados, se presta especial atención a los servicios de asistencia en tierra de aeronaves, pasajeros y mercancías. En cuanto al régimen de financiación de aeropuertos, dos son las grandes cuestiones abordadas: por un lado, el nuevo modelo de gestión aeroportuaria -es decir, la privatización parcial de AENA (que, en los términos en que está configurado en este momento, no promoverá la competencia)-y, por otro, la financiación pública de los aeropuertos y compañías aéreas, prestando especial atención a las Directrices de 2014.Palabras clave: sistema aeroportuario; competencia entre aeropuertos; privatización AENA; aeropuertos regionales; directrices; financiación aeropuertos; financiación apertura nuevas rutas; ayudas de Estado. ABSTRACT This paper analyses competition within the aviation sector. It first focus on Air Service Liberalization and then discusses in detail the reform of airport management and financing in Spain. Our analysis suggests that the reform that individualizes the airport system doesn't promote airport competition. On the other hand, the author analyses the new Aviation Guidelines adopted by the European Commission in February 2014 replacing the 1994 and 2005 Aviation Guidelines. The revised rules are welcomed as they further elaborate on the assessment criteria to apply the market economy operator principle and remove certain conditions (that had been deemed questionable) for the European Commission authorising start-up aid to airlines.Key words: aviation sector; airport system; competition between airports; regional airports; guidelines; financing airports; start-up to airlines; law of the European Union State aid. 556 The Act 5/2021, April the 12th, that modifies the Spanish Companies Act, approved by Royal Legislative Decree 1/2010 of 2nd July (“LSC”) goes beyond the Transposition of Directive 2017/828 and introduces ex novo “loyalty shares” within the Spanish Companies Act (Official Journal, April 13th). This novelty is an evolution in the corporate legislation, the purposes of which is to encourage long-term ownership. Under the self-explanatory heading “Additional loyalty votes”, the law implementing Directive 2017/828/EC introduces a set of rules (Arts. 527 ter to 527 undecies) fundamentally equipollent to the ones already in place in both France and Italy and, more recently, in Belgium. According to the preamble to the Bill, long-term ownership is a new concept promoted by policy makers (including the European Commission), some institutional investors, stakeholders and even issuers who have been facing for a while an increasing pressure to maximize short term results. Against this background, the question that immediately arises (duly discussed in this paper) is whether loyalty shares really promote long-term ownership. More intriguingly, the question is whether short termism is really a problem for listed corporations. The short term vs. long term dichotomy has led us to analyse the rise of the prominent role played by “activist” investors. If short termism exists, are loyalty shares the proper mechanism whereby a real change can really materialise? Moreover, are these new instruments the right solution to overcome the entrenched shareholder apathy and, therefore, the key to achieve their engagement?557
