Considerando o destaque econômico do agronegócio brasileiro e a relevância da cultura soja para esse resultado, o objetivo deste estudo consistiu em compreender como a estrutura de governança adotada entre produtores de soja e uma empresa compradora de soja está organizada na região noroeste do estado do Paraná. Tomando como base os pressupostos da NEI (Nova Economia Institucional), em particular da ECT (Economia dos Custos de Transação), esta pesquisa, de natureza qualitativa, envolveu a pesquisa de campo, por meio de entrevista e questionários, aplicados respectivamente à uma empresa compradora da soja e produtores rurais que cultivam soja. Como resultados, observou-se nas transações elevada especificidade de ativo, alta incerteza e frequência recorrente. Apesar disso, constatou-se que as transações são organizadas basicamente por uma forma híbrida. Conclui-se que as estruturas híbridas observadas se diferenciam do proposto pela ECT, visto que não há garantia de frequência, controle e mitigação dos riscos comuns a tal estrutura de governança, não conseguindo, assim, evitar as incertezas de mercado e climáticas, assim como a possibilidade do comportamento oportunista por parte dos agentes que possuem os investimentos específicos.
