Resumo: O objetivo do artigo é analisar o processo de mudança estrutural no setor privado de serviços de saúde brasileiro, a partir de uma caracterização da evolução do arcabouço institucional que regula a participação do capital estrangeiro em saúde e da análise das operações patrimoniais envolvendo empresas do setor de saúde brasileiro. Transformações no modelo político-institucional, associadas com um aumento do processo concentração e centralização de capital permitiram a ampliação da participação do capital estrangeiro nos serviços de saúde desde o início dos anos 2000 e a emergência de corporações de saúde com atividades em hospitais, ambulatórios, medicina diagnóstica e planos de saúde. O artigo contribui para a literatura da relação público privado em saúde ao utilizar uma extensa base de microdados para analisar as operações patrimoniais (fusões, aquisições majoritárias, aquisições minoritárias e IPOs) na área dos serviços de saúde brasileiro e identificar um padrão na forma de relação entre as empresas de serviços de saúde e fundos financeiros. Com base na análise, o artigo confirma a hipótese de pesquisa de que a entrada do capital estrangeiro é anterior a alteração na lei que abre o mercado de serviços de saúde no Brasil.

ResumoAs características individuais das firmas e o ambiente no qual estão inseridas são os fatores essenciais para explicar o crescimento das firmas. Uma das principais formas de realizar o processo de crescimento verificado pela literatura é a realização de operações patrimoniais, especialmente as fusões e aquisições. O presente trabalho tem como tema explorar o processo de operações patrimoniais envolvendo firmas do setor farmacêutico e biofarmacêutico no Brasil e Índia. Para isso iremos analisar os dados das operações de fusão e aquisição registradas pela base ORBIS entre os anos de 1997 e 2015, para explorar a hipótese de que as competências existentes nas firmas são um fator importante para definir sua forma de inserção nestas operações. O artigo contribui para a literatura ao utilizar uma base de dados para aprofundar tal discussão, indo além dos estudos de caso. Os resultados obtidos corroboram com as hipóteses apresentadas, ao mostrar que as empresas farmacêuticas indianas possuem um conjunto maior de competências e se inseriram de forma mais positiva no movimento de fusões e aquisições do que as empresas brasileiras. AbstractThe individual characteristics of firms and the environment which they are inserted are essential factors to explain the growth of firms. One of the main ways to achieve this growth is the execution of mergers and acquisitions. This paper explores the process of mergers and acquisitions in the pharmaceutical markets on Brazil and India. We used the data of deals registered on ORBIS database between 1997 and 2015 in order to explore the hypothesis that existing competencies in firms are an important factor to define their insertion in these operations. The contribution of this article is the use of a database to deeper the discussion about this subject, going beyond the case studies. The findings support the hypothesis, showing that Indians firms have more competencies than Brazilian firms and have been inserted in the process of mergers and acquisition in better position than Brazilian firms.
Resumo:O crescimento da firma depende de duas dimensões: o conjunto de recursos que a define e a diferencia das demais firmas e o ambiente no qual a firma está inserida. Com base em seu conjunto de recursos e imersas em um ambiente específico, as empresas adotam estratégias com objetivo de promover o crescimento da firma. Esse processo resulta na transformação do próprio conjunto de recursos a disposição das firmas e, ao mesmo tempo, altera o ambiente no qual estão inseridas, modificando a trajetória de crescimento da firma de forma coevolutiva. O artigo investiga a emergência de novas estratégias empresariais na indústria farmacêutica, fruto de transformações em sua dinâmica competitiva, através da análise das operações patrimoniais realizadas no setor entre 1997 e 2015. Os resultados indicam a emergência de dois padrões. Um associado ao surgimento de start-ups biotecnológicas e de experimentação nos países centrais, e outro, à busca de novos espaços de acumulação para indústria farmacêutica nos mercados farmacêuticas emergentes. Based on its pool of resources and grounded on specifics environments, firms adopts strategies pursuing growth. This process impact the resources of the firms and, concurrently, affect its environment, changing his evolutionary path in a coevolutive way. The article analyzes the emergence of business strategies using micro-data about mergers, acquisitions and joint ventures involving the pharmaceutical industry between 1997 and 2015. The emergence of two patterns was identified: The first one, localized on central economies, was related to the emergence of startups. The other was related to the pursuing of new accumulation spaces for the industry in the peripherical countries.
