Public procurement represents the most important link between the public administration and the economy of a state, through which governments buy annually very high value products, works or services. Knowing the characteristics of the environment, critical success factors and stakeholders is of great importance because these are the three main elements that contribute to the award of public procurement contracts and the efficient spending of budgetary funds. The research presents an analysis of the specialized literature, the main statistical data from the official public procurement reports and identifies the most important characteristics of the environment in which public procurement takes place in Romania, the stakeholders and the critical success factors in this field.

Public procurement is a crucial activity undertaken by the public sector. However, public procurement entails a wide range of transaction costs. While many papers focus on the ex-ante transaction costs, it is equally important to evaluate the types of ex-post transaction costs. Th e disputes stemming from confl icts between procuring authorities and proposers oft en bring additional costs to both parties. One of the ways to ensure that the procuring authority wins the dispute is using the services of an external law fi rm to represent the procuring authority in the review process. Th e aim of the paper is to examine the extent of the use of external law services in the public-procurement review process by procuring authorities and proposers in Slovakia and in the Czech Republic. Th e focus is also on the impact the use of external law fi rms in the review process may have on the length of the review process and the outcome of the dispute. Our results suggest that while the use of the external law fi rm may lead to a higher success rate of the review process on the side of a procuring authority, the same does not apply to proposers. Th ere were no conclusive fi ndings regarding the impact of the outsourcing on the length of the review process.

The economic, social and legal development of contemporary society, the globalization of economies and the complexity of businesses have led to an increase in the importance of financial information in substantiating decisions. More and more fierce competition, specific to the market economy and the pursuit of profit maximization as the goal of any business, involve inherent risks that entrepreneurs try to avoid as much as possible. Users confidence in the accounting information increases when the entity's financial statements are subject to an audit engagement, but the auditor is subject to risks that may affect the quality of his work. The study's finding highlights the importance of understanding and adopting ethical principles by all involved participants. It shows that the independence of the auditor is a principle that can easily be violated if the manager's influence is high and the consequences on the audit report lead to manipulated accounting information. Quantitative research was carried out on a sample of 100 auditors, members of Chamber of Financial Auditors of Romania, from the South Muntenia region, using the survey technique and the questionnaire as a research tool.
