Boilerplate and Economic Power in Auto-Manufacturing Contracts

Abstract: This chapter examines the boilerplate contracts used by auto makers to procure parts from suppliers. It identifies drafting and negotiation techniques that are used to secure advantageous terms. It also explores some prominent specific arrangements as evidence that firms with bargaining power are exploiting their position to dictate self-serving but inefficient terms. Finally, it shows how standard contractual clauses solve the problem of ex-post holdup by suppliers.

“…Because of “the range of situations in which boilerplate appears” (Rakoff 2007, 203), a variety of characteristics come to the fore; it becomes hard to pin down a single view of what we think of as boilerplate or how boilerplate language functions. Boilerplate has been identified by scholars as being both standardized and increasingly customizable (Radin 2007, 190); opaque to some parties and transparent to others (Boardman 2007, 176); inscrutable to all (or most) but familiar and, hence, valuable (Choi and Gulati 2006, 1152 note 83, 1160; Kahan and Klausner 1997, 721 note 16); 24 presumptively reflective of substantive agreement (Johnston 2007); one‐sided and nonnegotiated but understood and accepted by parties (Ben‐Shahar and White 2007); ubiquitous and context‐specific (Rakoff 2007; Gillette 2007, 98); and portable and modular, in a way that maximizes context‐independence (Smith 2007, 164).…”

“…Boilerplate terms have also been shown to reflect the agreement between sophisticated parties. In Ben‐Shahar and White's (2007) analysis of the particular operation of standard‐form provisions in auto‐manufacturing contracts, boilerplate continues to exhibit qualities of traditional contractual terms. While the authors focus on the efficiency of the transactions reflected in the boilerplate, their discussion reveals the extent to which nontailored terms express the substance of the arrangement.…”
