The article is devoted to the study of the peculiarities of the exercise of corporate rights under the civil law of Ukraine in order to identify their specific characteristics. Through a documentary methodology, close to legal hermeneutics, it was concluded that the participant of a legal entity (company) may have not only corporate rights but also other rights over this legal entity (company). Therefore, it is not enough to say that the rights of a person whose participation is defined in the authorized capital are corporate. It is important that the content of these rights is due to the ownership share (share, number of shares) in the authorized capital of the legal person (company). It was also found that intangible corporate rights must be distinguished from the personal intangible rights of the individual. The concepts of “non-economic rights” and “non-economic personal rights” are not identical. In relation to a person, intangible rights should be divided into two types: non-economic rights that are not closely related to a person (e.g., non-economic corporate rights); intangible rights that are closely related to a person and are inseparable from a person (personal intangible rights).
Стаття присвячена впливу засади пропорційності на здійснення переважного права учасників господарського товариства придбати частку (частину частки) у разі її відчуження іншим учасником в умовах новелізації корпоративного законодавства.У Законі України "Про акціонерні товариства" від 27 липня 2022 року не встановлено порядок здійснення переважного права акціонерів на придбання акцій товариства, що пропонуються їх власником до відчуження третій особі, як це було закріплено у ст. 7 попереднього Закону України "Про акціонерні товариства" від 17 вересня 2008 року. Навпаки, стаття 8 нового акціонерного закону містить імперативну норму, відповідно до якої акціонери товариства, незалежно від його типу -приватного або публічного, можуть відчужувати належні їм акції без згоди інших акціонерів товариства.Закон України "Про товариства з обмеженою та додатковою відповідальністю" передбачає засаду, умови і способи здійснення переважного права учасника на придбання частки (частини частки) іншого учасника товариства. Реалізація цього права базується на засаді пропорційності.Законодавство України про здійснення переважного права купівлі частки, яка пропонується до продажу учасником товариства6 в сучасних умовах побудовано на переважності лише щодо третіх осіб.Заразом, у корпоративних відносинах переважність у здійсненні прав учасників товариства повинна бути застосована не лише щодо інших (третіх) осіб, але й стосовно самих учасників, тобто суб'єктів одного і того ж правового статусу. Переважність у здійсненні корпоративних прав буває двох видів: 1) переважність щодо інших (третіх) осіб і 2) переважність щодо решти учасників. Переважність перед рештою учасників заснована на засаді пропорційності, й означає, що учасник може претендувати на такий обсяг майнових і немайнових благ у господарському товаристві, які відповідають розміру його частки у статутному капіталі цього товариства.Переважне право учасника на придбання частки треба поширити не лише на відносини з третіми особами, але й на відносини з рештою учасників. Частка учасника, яка пропонується до продажу, має бути розподілена між іншими учасниками пропорційно до розміру належних їм часток.Ключові слова: засада, пропорційність, переважність, переважне право, частка. The paper deals with peculiarities of exercise and protection of the minority shareholders right to a fair price for the compulsory sale of shares by them in case of purchase of a dominant controlling stake by another shareholder (shareholders) in the conditions of corporate legislation amendment. In the process of exercising the right to compulsory redemption of shares by the owner of a dominant controlling stake (more than 95 percent of common shares), issues arose related to the violation of the right of the remaining minority shareholders to receive a fair price for the compulsory sale of shares. The problem in exercising the right of shareholders to have their shares purchased at a fair price by the owner of a dominant controlling stake is caused by the wrong wording of Art. 95 of the Law of Ukraine "On Stock Companies" regarding the need to involve a subject of professional appraisal activity, which violates the general rule established by the law on the highest price. Thus, considering paragraph 2, part 3 of Art. 95 of the Law of Ukraine "On Stock Companies", the market value of compulsory redemption shares must always be determined by the subject of professional appraisal activity, regardless of whether the shares circulate on organized capital markets or not. In order to overcome the obstacles to exercise of the right to a fair price for the compulsory sale of shares established by the shareholder law, it is necessary to exclude from it the provision on the mandatory involvement of an appraisal activity subject in case of an independent appraisal of the value of the partnership's shares at the request of minority shareholders who own 5 percent or more shares (in the case provided for by Article 95 of the law, more than 1 percent of the partnership's shares). The method of protecting the right to a fair share price in case of purchase of a dominant controlling stake, developed in judicial practice, was enshrined in Art. 95 of the newly adopted Law of Ukraine "On Stock Companies". Thus, according to part 21 of this article, shareholders who believe that the mandatory sale price does not meet the requirements established by parts five to seven of this article have the right to apply to court with a demand for recovery from the claimant for compensation of the proper value of the shares, purchased from them in accordance with such claim.
