This paper is conceptual in nature and presents the assumptions of a holistic approach to corporate real estate management. The approach is based on the imperative of sustainability, which has become a determinant of the proposed Sustainable Corporate Real Estate Management (SCREM) model. Moreover, the authors indicate that in addition to the presence of the sustainability imperative, corporate real estate management requires the integration and formalization of knowledge about the concepts of corporate real estate management (CREM) with those of corporate social responsibility (CSR). This approach is intended to enable the identification and improvement of real estate management processes and, as a result, contribute to more efficient and effective corporate real estate management and continuous and flexible development of enterprises, as well as boosting economic growth and building prosperity for present and future generations.
One of the fundamental ways in which an advantage over competitors can be gained in business is to develop real estate portfolios in such a way that will lead to an increase in market share and value for shareholders. This serves as justification for the formulation and implementation of specific real estate strategies regarding the best manner in which to use CRE, make decisions regarding restructuring, and carry out necessary development projects, taking into account the criteria of: location, time, and procurement options. This paper presents the formulation and realization of real estate strategies, focusing on the use of the category of property value. Moreover, the authors formulate a possible classification of CRE, which is useful from the perspective of real estate strategies, in addition to identifying and evaluating different types of property values which can be used for real estate strategies. For the majority of operational properties, these categories differ from market value. The last part of the publication provides a reference of selected valuation methods used to determine the value of CRE in the context of formulating and implementing real estate strategies.
Streszczenie: Cel -Celem publikacji jest przedstawienie problematyki stosowania kategorii wartości sprawiedliwej do wyceny przedsiębiorstw w Polsce. Wykorzystanie tej kategorii wartości do wyceny przedsię-biorstw dotyczy najczęściej sytuacji konfliktowej, w której konieczna staje się ochrona posiadanych praw własności przedsiębiorstwa, co wymaga osadzenia tej koncepcji wyceny na dotychczasowym dorobku teorii sprawiedliwości. Ten rodzaj wartości został wprowadzony do krajowej praktyki szacowania w 2011 r. w standardzie NI 5 rzeczoznawców majątkowych. Hipoteza: koncepcja wartości sprawiedliwej przeniesiona do Polski z teorii i praktyki rozwiniętych krajów anglosaskich (w szczególności USA) jest możliwa do stosowania w Polsce jedynie po dostosowaniu krajowych regulacji prawnych instytucjonalizujących zasady wyceny przedsiębiorstw oraz wymaga uwzględnienia stopnia rozwoju gospodarki rynkowej. Metodologia badania -Studia literatury krajowej i zagranicznej oraz ocena praktyki stosowania kategorii wartości sprawiedliwej. Wynik -Ustalenie warunków instytucjonalno-prawnych oraz ekonomicznych, jakie powinny być spełnione dla zapewnienia poprawnego stosowania kategorii wartości sprawiedliwej w wycenie przedsiębiorstw. Oryginalność/wartość -Weryfikacja hipotezy na podstawie badań literatury zagranicznej i krajowej.Słowa kluczowe: wycena przedsiębiorstwa, wartość sprawiedliwa, standardy wartości, prawa własności przedsiębiorstw wprowadzenie Rozwój gospodarki rynkowej w Polsce prowadzi do stałego zwiększania udziału prywatnych dóbr ekonomicznych, spośród których dużego znaczenia nabierają kwestie własności przedsiębiorstw. Skutkuje to rozwojem rynku, na którym zawierane są dobrowolne transakcje rynkowe oraz transakcje w warunkach wymuszonych 1 , np.: wypieranie udziałowców, wywłaszczenia, wypłata odszkodowań z umów lub na wskutek czynów niedozwolonych. Przedsiębiorstwa są także przedmiotem transakcji nierynkowych, np. dotyczących spadków i darowizn. Rozwój prywatnej własności przedsiębiorstw skutkuje powstaniem rynku, na którym zawierane są różnorodne transakcje kształtujące prawa własności przedsiębiorstw.
Streszczenie: Cel-Celem publikacji jest przedstawienie aspektów metodycznych wykorzystania kategorii wartości sprawiedliwej do wyceny praw własności przedsiębiorstw w Polsce. Na tle rozwiązań instytucjonalno-prawnych opracowanych i stosowanych w USA do określania wartości sprawiedliwej, dokonano oceny warunków i możliwości stosowania w Polsce tego rodzaju zestandaryzowanej wartości. Rozważania skoncentrowano na przypadkach dotyczących przedsiębiorstw niegiełdowych i celach wyceny związanych z występowaniem silnej sytuacji konfliktowej pomiędzy stronami transakcji zawieranych w warunkach przymusowych oraz konfliktowych. Hipoteza: wartość sprawiedliwa wprowadzona w Polsce w 2011 r. do metodyki wyceny poprzez regulacje standardów zawodowych, została przeniesiona z teorii i praktyki rozwiniętych krajów anglosaskich, stąd jej aplikacja wymaga uwzględnienia krajowych przepisów prawa oraz dostosowania do aktualnej sytuacji gospodarczej, w tym do stanu rozwoju pozagiełdowego rynku obrotu prawami własności przedsiębiorstw. Metodologia badania-Studia literatury krajowej i zagranicznej, samodzielna ocena studiów przypadków dotyczących stosowania w praktyce kategorii wartości sprawiedliwej oraz przypadków braku jej stosowania dla uzasadnionych celów wyceny. Wynik-Ustalenie warunków instytucjonalno-prawnych oraz ekonomicznych, jakie powinny być spełnione dla zapewnienia poprawnego stosowania kategorii wartości sprawiedliwej w wycenie przedsiębiorstw.
