This article examines the regulation of the judicial procedures of company rescue in Great Britain, Germany, France and Lithuania in order to assess whether the existing contracts may be preserved during these procedures. The article is based on certain legislation, the case law of the analysed countries and scientific studies from foreign countries. ĮvadasKiekvienais metais Europos Sąjungoje dėl vienokių ar kitokių priežasčių apie 9 procentai įmonių 1 savo noru pasitraukia arba yra priverstos pasitraukti iš rinkos. Mažiau nei pusė visų įmonių sugeba išgyventi ilgiau nei 5 metus 2 . 2012 m. net apie 250 000 įmonių Europos Sąjungoje buvo inicijuotos nemokumo procedūros, t. y. beveik 700 įmonių kiekvieną dieną 3 . Dėl įmonių nemokumo Europos Sąjungoje 1,7 milijono darbuotojų kiekvienais metais netenka darbo 4 . Visi šie statistiniai duomenys verčia sunerimti ir susimąstyti, ar reglamentuojant įmonių gaivinimo procedūras tikrai sudaromos tinkamos sąlygos išsaugoti perspektyvias, tačiau su laikinais sunkumais susidūrusias įmones.Šiuo metu visuotinai pripažįstama, kad perspektyvioms įmonėms turėtų būti suteikiama naujos pradžios arba antro šanso galimybė (angl. Fresh Start, Second Chance). Valstybės vis dažniau reformuoja galiojantį reglamentavimą, siekdamos suteikti prioritetą įmonėms gaivinti bei verslui išsaugoti 1 Įmonė šio straipsnio kontekste yra suprantama kaip kiekvienas juridinio asmens statusą turintis vienetas, įsteigtas teisės aktų nustatyta tvarka, komercinei veiklai vykdyti, išskyrus juridinio asmens statusą turinčius vienetus, kuriems taikomas specifinis reglamentavimas (pavyzdžiui, draudimo įmones, kredito įstaigas ir kt.).

Svarstoma, ar nemokioms įmonėms turėtų būti suteikiamas antras šansas, ar valstybių nacionaliniuose teisės aktuose turėtų būti įtvirtintos formalios nemokių įmonių gaivinimo procedūros, kuriomis būtų galima pasinaudoti kaip priverstinio likvidavimo alternatyva. Straipsnyje remiamasi atitinkamais nagrinėjamų valstybių teisės aktais bei Lietuvos ir užsienio autorių mokslo darbais.This article examines the regulation of the formal rescue procedures of insolvent companies in Lithuania, United Kingdom, the United States of America and Germany. Consideration is given to whether insolvent companies should be given a fresh start and whether the formal rescue procedures, which might be used as an alternative to a compulsory liquidation, should be introduced in the national legislation. The article is based on the certain legislation of the analysed countries and scientific studies from Lithuania and foreign countries.
