De boekjaren 2001 en 2002 hebben zich gekenmerkt door miljardenverliezen van grote beursondernemingen door afboekingen op aangekochte goodwill. De nieuwe regelgeving omtrent de verwerking van goodwill in de jaarrekening volgens US GAAP heeft de bedrijfseconomische realiteit van de hoge acquisitieprijzen die met name eind jaren negentig zijn betaald, duidelijk zichtbaar gemaakt. Diverse Nederlandse ondernemingen die ook onder US GAAP rapporteren, hebben operationele verliezen moeten nemen door zogenoemde goodwill impairments, onder Nederlandse regelgeving bekend als duurzame waardevermindering van goodwill. In dit artikel onderzoeken we koersreacties op aankondigingen van goodwill impairments door Nederlandse ondernemingen. Onze analyse van de koersreactie op zeventien impairmentaankondigingen laat zien dat de koersreactie significant negatief is over een driedaagse tijdsperiode van één dag voor de aankondiging tot één dag na de aankondiging, maar dat de verandering van de marktwaarde van de ondernemingen gemiddeld genomen substantieel kleiner is dan de impairmentlast die aangekondigd wordt. Dit resultaat lijkt erop te wijzen dat de vermindering van de marktwaarde van de goodwill reeds grotendeels in de koers is verwerkt.
In dit artikel presenteren we de resultaten van een onderzoek naar veranderingen in de operationele prestaties van ondernemingen na een fusie of overname, teneinde het optreden van synergievoordelen te beoordelen. We gebruiken hiervoor een steekproef van veertien overnames van Nederlandse beursgenoteerde ondernemingen. De veranderingen in de operationele prestaties worden geanalyseerd aan de hand van een cashflowgebaseerd model, waarbij het cashflowrendement op de marktwaarde van de activa en op de netto-omzet vóór en ná het samengaan met elkaar worden vergeleken. De resultaten van dit onderzoek duiden niet op verbeteringen in de operationele prestaties na de fusie of overname.
Onderzoek in de Verenigde Staten (Bagley et al., 2012) onder studenten accountancy laat zien dat studenten die een voorkeur hebben voor Big 4-kantoren meer belang hechten aan de reputatie van een kantoor en aan de erkenning die het werken bij een prestigieus kantoor levert, en minder aan sfeer en werkprivébalans. Tegelijkertijd is de beroepsgroep aan grote kritiek onderhevig, en zijn vooral de Big 4-kantoren regelmatig negatief in het nieuws. Door middel van een enquête onder 137 masterstudenten Accountancy & Control onderzoeken we of negatief nieuws de aantrekkelijkheid van Big 4-kantoren ten opzichte van non-Big 4-kantoren beïnvloedt. Analoog aan de resultaten uit de VS vinden we dat prestige en erkenning positief gerelateerd zijn aan de aantrekkelijkheid van Big 4-kantoren, maar er is geen invloed van sfeer en werk-privébalans. Kennis van negatief nieuws heeft geen direct effect op de voorkeur van studenten; voor studenten die reputatie minder belangrijk vinden geldt dat meer nieuwskennis leidt tot meer voorkeur voor een Big 4. Er is derhalve geen negatieve invloed van kennis van slecht nieuws op de aantrekkelijkheid van grote kantoren.
Het ten minste éénmaal per jaar toetsen van geactiveerde goodwill op waardeverlies is sinds 2001 verplicht onder de huidige regelgeving in de Verenigde Staten (FAS 142), en is sinds de invoering van de International Financial Reporting Standards (IFRS) in 2005 ook onder IAS 36 verplicht. In dit artikel beschrijven we het toetsen van goodwill op waardedaling volgens FAS 142 en IAS 36. We bespreken de stappen die in het proces doorlopen moeten worden, en we gaan in op de verschillen tussen de beide regelgevingen, zowel met betrekking tot de resultaten van de waardetoetsen als met betrekking tot mogelijke implementatieaspecten.
