ResumoO objetivo deste artigo é analisar como os conceitos básicos da nova economia institucional podem suportar teoricamente a existência de agências reguladoras. Através de uma análise comparativa entre a estratégia do franchise bidding, também conhecido na literatura como leilão de Demsetz, e as principais críticas formuladas a este modelo por Williamson (1976), este trabalho procura identificar de que maneira variáveis como: (i) a racionalidade limitada, (ii) o oportunismo e os (iii) decorrentes custos de transação, características fundamentais da nova economia institucional, podem impactar a tomada de decisão do Estado na definição da estrutura de governança mais adequada à regulação de uma determinada utilitie. A análise teórica promovida neste artigo indica que a ausência de organismos reguladores, proposta pelo leilão de Demsetz, potencializa o surgimento de incertezas e comportamentos oportunistas em cenários cujas falhas de mercado e a especificidade dos ativos sejam predominantes.Palavras-chave: Leilão de Demsetz; Economia da Regulação; Institucionalismo. AbstractThis paper aims to analyze how the operation of a public utility commission can be grounded on the concepts derived from new institutional economics. Drawing on the literature of franchise bidding system -also known as Demsetz bidding (1968) -and the critical work of Williamson (1976), this paper look forward to identifying how variables such as (i) limited rationalism, (ii) moral hazard and (iii) transaction costs can affect public decision making to define which governance structure is more suitable to regulate each specific utility. This theoretical analysis points out that the absence of a public utility commissions as proposed by Demsetz, increases the possibilities of moral hazard and uncertainty in environments where market failures and assets specificities are present.Key Words: Franchise bidding; Regulatory Economics; Institutionalism.
