Mit der 4., der 7. und der 8. EG-Richtlinie war beabsichtigt, in den Mitgliedsländern der damaligen Europäischen Gemeinschaften einheitliches Recht für die Rechnungslegung, die Prüfung und die Offenlegung von Jahresabschlüssen und Konzernabschlüssen von Kapitalgesellschaften zu schaffen. Neben dem Wunsch nach Vereinheitlichung wollte man auch den erheblichen volkswirtschaftlichen Verlusten durch Insolvenzen solcher Unternehmen vorbeugen. Prüfung und Veröffentlichung wurden als "Preis" für die Haftungsbeschränkung angesehen. Die Transformation dieser Richtlinien in deutsches Recht führte dazu, dass sich zahlreiche kleine und mittlere Unternehmen durch Änderung der Rechtsform und Gesetzesmissachtung den Pflichten entzogen. Das Kapitalgesellschaften-und Co-Richtlinie-Gesetz soll dieser Vermeidungsstrategie ein Ende bereiten.
