A concern for ensuring energy security is particularly important in the 2020s, a decade significantly marked by economic and political uncertainty: the coronavirus pandemic, the Russian-Ukrainian war, and inflation turning into stagflation in many markets. Additionally, the national and international climate policy promoting the acquisition of energy from non-renewable sources is only a part of the problem that forces a revision of the direction and degree of diversification of energy sources. States, bearing in mind the inevitability of change, in order to maintain energy security, should not only accurately read these phenomena but also effectively prevent them. One of the available solutions is to build a multi-energy concern to ensure energy independence through diversified production and distribution of electricity and non-renewable fuels. To this end, a large international entity centred around the PKN Orlen group has existed in Poland for several years. The construction of this holding is based on M&A transactions, as effective mechanisms for long-term management, and focused around complementary, in terms of economic activity, market entities—Energa, Lotos and PGNiG. This article focuses on the assessment of the phenomenon of capital concentration in M&A transactions by PKN Orlen, with particular emphasis on the changes in the shaping of energy security in the near future and also on the basis of the directions resulting from government guidelines and policies.
The motive for the functioning of enterprises in the market economy is the maximization of benefits by achieving positive financial results with the minimum possible involvement of capital. The positive results achieved are perceived very positively by the stakeholders. To achieve this, it is necessary to carry out reorganization processes (mergers and acquisitions) within capital groups, which are perceived as necessary (positive) measures. These phenomena have been observed in the energy sector for many years, and the years 2010–2021 were adopted as the research period. The aim of this article is to attempt to answer the question of whether the multi-energy concern is the result of activities carried out in light of the 2030 Agenda. The effect of merging the entities is capital concentration. This fact has been verified by reviewing changes in the structures of capital groups in the energy sector against the background of the largest mergers and acquisitions in Poland in terms of value. The theoretical part presents the differences in the terminology of mergers and acquisitions and the motives for their creation and operation, with an emphasis on energy groups. Therefore, the authors undertook research aimed at identifying and assessing the main premises and effects of capital concentration through mergers and acquisitions in the energy sector in Poland.
WprowadzenieCelem artykułu jest analiza koncepcji konsolidacji sprawozdań finansowych, które w znacznej mierze wpłynęły na zasady pomiaru i zakres ujawnień poszczególnych kategorii w sprawozdawczości skonsolidowanej. Istotnym celem jest ocena kolejnych ewolucyjnych zmian regulacji prawnych, które wykorzystują założenia przedstawianych koncepcji. Próba odpowiedzi na pytanie, czy obecne regulacje wpłyną na jakość informacji, jakiej oczekują inwestorzy, podyktowała konstrukcję artykułu. W niniejszych rozważaniach zostanie wykorzystana analiza porównawcza regulacji w zakresie wyceny i prezentacji elementów skonsolidowanego sprawozdania finansowego obowiązujących w poszczególnych okresach w międzynarodowych regulacjach rachunkowości (MSSF). W celu zilustrowania najważniejszych różnic pomiędzy omówio-nymi koncepcjami autorka przedstawiła przykład liczbowy.Przedstawiane koncepcje konsolidacji sprawozdań finansowych są podstawowymi założeniami metodologii rachunkowości grup kapitałowych i wywodzą się z teorii podmiotowych rachunkowości 1 . Dlatego w pierwszej części artykułu zostanie omó-wiony kapitał jako kategoria nauk ekonomicznych i rachunkowości. Konfrontacja potencjału metodologicznego z obowiązującymi regulacjami w zakresie wyceny poszczególnych składników skonsolidowanego sprawozdania finansowego pozwoli dodatkowo na ocenę badanego zjawiska. Metodologią badań nazywamy naukę zajmującą się sposobem pomiaru zachodzących zjawisk, które badacz chce zmierzyć 2 . Obecnie prawie każda gałąź nauki opracowała i przygotowuje własne metody badawcze. Rachunkowość również posiada odrębny zbiór reguł, między innymi po to, aby jak najlepiej mierzyć interesujące zjawiska.
Podstawowym motywem funkcjonowania przedsiębiorstw jest maksymalizacja korzyści poprzez osiąganie dodatnich wyników finansowych przy możliwie minimalnym zaangażowaniu kapitału przedsiębiorstwa.Każde dodatnie rezultaty, które przedsiębiorstwo jest w stanie osiągnąć z tytułu prowadzonej działalności, jest traktowane przez jego interesariuszy pozytywnie, bowiem przyczynia się do wzrostu jego potencjału ekonomicznego. Jednakże aby go osiągnąć, należy dokonać pewnych procesów, które wprost w swoim zamierzeniu dążą do wypracowania odpowiedniej wartości poprzez współdziałanie z innymi podmiotami na rynku. Wśród takich procesów wyróżnia się transakcje oparte o mechanizm fuzji i przejęcia. Należy podkreślić, że ogólnie są one postrzegane jako pozytywne, a niekiedy – z perspektywy ekonomicznej – nawet konieczne. Głównym celem artykułu jest dokonanie przeglądu największych wartościowo transakcji fuzji i przejęć wśród grup kapitałowych funkcjonujących w Polsce. Wartością dodaną artykułu jest możliwość rozwinięcia badań w kierunku korzyści fuzji i przejęć, jak również rozszerzenie obserwacji na inne sektory gospodarcze oraz geograficzne (w szczególności oceny skutków fuzji i przejęć w innych krajach świata). Wnioski płynące z artykułu mogą świadczyć o ustabilizowaniu sektora fuzji i przejęć w ostatnich latach, a także o pozytywnych korzyściach płynących z tych transakcji. Oczywiście nie każda fuzja czy przejęcie niesie ze sobą pomyślne skutki.
In recent years, there has been increasing talk about reverse acquisitions in capital concentration process- es. These situations are associated with the use of certain economic, tax, and other privileges by compa- nies that are often the initiator of such undertakings. The purpose of the article is, among others, to pre- sent the premises that guide economic entities when making decisions about reverse acquisitions. It is a process in which there is a specific type of acquisition of control of one entity by another. In these cases, there is a reversal of typical relationships between entities involved in the merger, because the entities that have control over the entities that acquire them are taken over. The regulations of the Interna- tional Financial Reporting Standard (IFRS) No. 3 "Business Combinations" have a very important role in accounting for these processes. They allow for the proper recognition of these relationships. Based on numerical examples, the authors present the rules for accounting for such a combination. Thus, they confirm the role of accounting, which implements the principle of faithful and reliable presentation of this process. A critical analysis of the literature and legal regulations, as well as deductive reasoning, made it possible to determine the most important motives of this type of connection.
