Defining the European vector of development of Ukraine in the model of international cooperation as a priority involves the use of European standards in the field of law. This is impossible without careful adaptation work to bring the domestic legal system in line with the system that exists in the countries of the European Union. Recent changes in legislation have been long-awaited and have been a breakthrough in the corporate and financial sectors. The authors aim to carry out a comprehensive analysis of Ukrainian corporate law by comparing the political governance of Eastern Europe, economic and political aspects of the current situation, problems of corporate governance and ways to solve them, and the current stages of adaptation of corporate law in its transformation to the EU’s norms. In February 2018, the European Commission proposed to consider 2025 a possible date for the accession of Serbia and Montenegro, which means recognizing these countries as the first league in the Balkans, even in case the EU Council does not approve this date. The second league was set by the Council in June 2018, when 2019 was marked as a possible conditional date for the opening of accession negotiations with Albania and Macedonia. While the third league is for the accession of Bosnia and Kosovo, for which no date has been set. Negotiations with Turkey have been suspended. For comparison, if we take into account both political and economic indicators, Ukraine is approximately equal to the Balkan states of the second league. The prospect of EU membership has been recognized as the strongest external factor in domestic political change in the countries surrounding the EU. In accordance with the requirements of the Association Agreement with the EU on corporate law (EU Directives No. 2001/34/EC, No. 2003/71/EC, No. 2004/109/EC, No. 2007/14/EC, No. 2007/36/EC, No. 2012/30/ ЕС, No. 2013/34/ЕС, Recommendations of the European Commission No. 2005/162/ЕС and No. 2004/913/ЕС) the Law of Ukraine No. 2210-VIII, the Law of Ukraine “On Limited Liability and Additional Liability Companies” dated February 06, 2018 No. 2275-VIII, amendments to the Laws of Ukraine №514-VI, “On Securities and Stock Market”, “On Business Associations”, the Economic Code of Ukraine, the Civil Code of Ukraine, the Criminal Procedural Code of Ukraine and other laws were made and came into force on July 1, 2021 in the Law of Ukraine No. 738-IX. European integration transformation of Ukrainian legislation in the context of protection of shareholders’ rights was manifested through the implementation of Directive 2004/25/EC in the Law of Ukraine “On Amendments to Certain Legislative Acts of Ukraine Concerning the Simplification of Doing Business and Attracting Investments by Issuers of Securities” dated March 23, 2017 No. 1983-VIII and the Law of Ukraine No. 514-VI. Ukraine’s economy has not yet recovered from the negative effects of the global financial crisis of 2008, the political coup, the national crisis of 2015, the current crisis caused by the COVID-19 pandemic. This situation shows declining dynamics, and changes in Ukrainian legislation are offset, not showing real effect. The harmonization of Ukrainian legislation is complicated by the unwillingness of Ukraine’s business environment to comply with EU rules. Analyzing the activities of the JSC, the dynamics of the securities market, stock market and the transformation of Ukrainian legislation, the initiatives of certain branches of government, we can say that Ukraine is moving in the right direction but not fast enough and forms a country with a real market economy. Therefore, we can conclude that the adaptation of Ukrainian corporate law to EU legislation should be carried out not only in relation to existing EU directives but in accordance with general trends and prospects for the development of European corporate law.
Статтю присвячено дослідженню юридичної категорії «суспільний інтерес» як підстави для обмеження права власності на культурні пам'ятки. У статті відзначено, що важливість охорони культурно-історичної спадщини зумовлена спільними інтересами людства, включаючи майбутні покоління. Проаналізовано законодавство України, доведено, що обмеження прав власності є конституційними та не суперечать «священному» характеру прав власності, а цивільне законодавство України передбачає особливий режим охорони пам'яток культури. Було продемонстровано, що обмеження права власності на пам'ятки культури із причин, що становлять суспільний інтерес, притаманне всім основним правовим системам сьогодення. Проаналізовано практику Європейського суду із прав людини щодо розуміння поняття «суспільний інтерес» у контексті обмеження права власності та порядок його застосування. Зроблено висновок, що ЄСПЛ у своїй практиці визнає, що держава має можливість обмежити право власності на пам'ятники культури з урахуванням принципів законності, пропорційності та необхідності. Стаття також оцінює сучасний стан ефективності правових механізмів захисту права власності на пам'ятки культури в Україні, зокрема Закону «Про охорону культурної спадщини». Зазначається, що законодавство України про охорону культурної спадщини містить положення про контроль за збереженням пам'яток культури та вимоги до їх власників, що відповідають її міжнародним зобов'язанням. Відповідні обмеження права власності на пам'ятки культури в законодавстві України є вимогою як національного законодавства, так і міжнародно-правових стандартів у цій галузі. Водночас зазначається, що відповідне законодавство є неефективним і держава не в змозі забезпечити ефективний захист пам'яток культури на основі суспільних інтересів. Він зазначив, що чітке усвідомлення «суспільних інтересів» як моральної основи для обмеження права власності на пам'ятники культури суспільством в цілому та правової категорії правоохоронних органів для використання їх для збереження таких пам'ятників може бути фактором підвищення ефективності правової системи охорони культурної спадщини в Україні. Доведено, що обмеження права власності з мотивів суспільного інтересу притаманне усім ключовим правовим системам сучасності. Розглянуто аргументи на користь того, чому право власності на культурні пам'ятки потребує спеціального правового режиму. У статті також дається оцінка поточному стану ефективності правових механізмів захисту права власності на культурні пам'ятки в Україні.
The article is devoted to a little-studied page of the history of international law and international legal personality - the status of the Free City of Danzig (now Gdańsk) in 1920-1939. The topic of such state entities with a special international regime of territory and subjectivity is a veryinteresting page of the international experience of settling territorial disputes between states. Unfortunately, their research in the Ukrainian international law (in particular, the international legal status of the Neutral Moresnet and the Free City of Krakow) began to appear only in recent years. The article examines the history of Danzig and the circumstances that actualized the issue of its statehood after the end of the First World War. It was emphasized that the decision to create the Free City was a compromise between the interests of Poland and the residents of Danzig on the one hand, and the interests of various victorious states on the other. The main sources of the international legal status of the Free City of Danzig are highlighted. The peculiarities of the international legal personality of Danzig in the context of relations between the Free City and Poland and the League of Nations are analyzed. Special attention is paid to various aspects of legal personality, in particular: external relations and membership in international organizations; economic issue; guarantees of the security of the Free City. It is substantiated that, despite the special regime of the territory and the limitation of sovereignty, Danzig was an independent state in the international context. The reasons that led to the end of the history of the Free City of Danzig are singled out, in particular: permanent conflicts with Poland; the ineffectiveness of the League of Nations as a key guarantor of the security of the Free City; the coming to power of the Nazis in Danzig and their policy of rapprochement with Nazi Germany. It is shown that in the future the use of such formats for the resolution of international disputes is impractical due to the impossibility of considering the entire set of circumstances.
The field of labour is one of the most dynamic in the society and develops under the influence of the general social progress. Rapid development of digital technologies, towhich public regulators appeared not to be ready in many aspects, has also changed the field of labour by stimulating search and application of new forms of employment. Resulting from technological changes, they also often appear to be beyond legal regulation, thus posing risks both for the state or business, and for employees. Normally new, hybrid forms of labour relations are considered in the context of tax and employment law. That is because they are also related to human rights as it is individual rights and freedoms that are exposed to risks. Respectively, all hybrid models and public initiatives require scrupulous attention and analysis, since their effect may go beyond the framework of employment law or fiscal consequences. In the present article wewill consider the key factors affecting launching of such hybrid models, their pros and cons, as well as public initiatives aimed at regulating relations in the field, as exemplified by different forms of labour organization in the Ukrainian IT industry.
У статті розглядаються проблеми становлення і розвитку механізмів публічного управління в сфері захисту персональних даних в Україні. Проаналізовано міжнародні стандарти створення та діяльності таких органів, наведено вимоги, які вони встановлюють на національному рівні. У статті розглядаються проблеми становлення і розвитку механізмів публічного управління в сфері захисту персональних даних в Україні. Проведено дослідження проблем діяльності та правового статусу Державної служби із захисту персональних даних, наведено причини, які обґрунтовували її невідповідність чинним міжнародним стандартам та вимогам Європейського Союзу. Наголошено, що передача функцій інституційного механізму у цій сфері до Уповноваженого Верховної Ради з прав людини та Секретаріату Уповноваженого дозволила суттєво покращити ситуацію, але і цей формат має цілу низку недоліків. Проаналізовано чинні пропозиції щодо започаткування нових механізмів захисту персональних даних в Україні, зокрема створення Національної комісії з питань захисту персональних даних та доступу до публічної інформації. Визначено недоліки законопроєкту, які впливатимуть на незалежність майбутнього органу. Запропоновано, що створення нового органу має відбуватися у форматі Інформаційного комісара, статус та повноваження якого будуть близькими до статусу і повноважень Уповноваженого Верховної Ради з прав людини. Одночасно за Уповноваженим доцільно зберегти функції в сфері захисту персональних даних, однак в рамках його конституційного мандату. Підкреслено, що реформування механізму захисту персональних даних безумовно стане однією із євроінтеграційних вимог в ході переговорів України про вступ Європейський Союз.
