Risk, şirketlerin hedeflerine ulaşmasını olumsuz etkileyebilen olayların neden olduğu olası kayıplardır. Karşılaşabilecekleri risklerin varlığı nedeniyle şirketler doğrudan tehdit altındadır. Şirket iflaslarının önlenmesi amacıyla bu risklerin erken teşhis edilerek, önlemler alınması önemlidir. 6102 sayılı Türk Ticaret Kanunu'nun (TTK) 378. ve 625/1-e md. ile anonim ve limited şirketlerde riskin erken saptanması ve yönetimi komitesi kurulmasını zorunlu hale getirmiştir. Fakat, Kanunda komitenin usul ve esasları açık bir şekilde belirtilmemiştir. Bu durumun uygulamada muhtemel sorunlar ortaya çıkarabileceği aşikardır. 'Geniş anlamda bir risk yönetim sistemi mi kurulmalıdır?' 'Sadece borsa şirketlerinde komite kurulmasının zorunlu olması şirketlerde risk bilinci oluşturmak için yeterli midir?' gibi sorular tartışmaya açıktır. Bu sorulara yanıt bulmak adına BIST-Kurumsal Yönetim endeksinde yer alan şirketlerin 2019 yılı faaliyet raporları incelenmiştir. Çalışmanın sonucu uygulamada ortaya çıkan sorunları çözmek adına Kamu Gözetimi Kurulunca risk yönetim standartları belirlenmesi gerekliliğini ortaya koymaktadır. Bu çalışma uygulamada karşılaşılabilecek aksaklıkları belirleyerek kanunun iyileştirilmesine yardımcı olacaktır. Ayrıca, bu aksaklıkların giderilmesine yönelik çözüm önerilerinde bulunacaktır.
Genel kurul toplantısı yerli, yabancı, bireysel veya kurumsal ayrımı gözetmeksizin tüm pay sahiplerinin şirket yönetimine ilişkin haklarını kullandığı önemli bir organdır. Pay sahiplerinin genel kurula katılımının düşük olması ve iradesini şirket yönetim kuruluna yansıtamaması güç boşluğu sorununa neden olmaktadır. Gelişen kurumsal yönetim anlayışı bu sorunu gidermek adına genel kurula katılımı ve oy hakkı kullanımını kolaylaştıran çözümler gündeme getirmiştir. Bu çalışmanın konusunu 6102 sayılı Türk Ticaret Kanunu'nun güç boşluğu sorununa çözüm olarak getirdiği yeniliklerden biri olan elektronik ortamda genel kurul sistemi oluşturmaktadır. Elektronik genel kurul, pay sahiplerinin genel kurula daha az maliyet ile katılarak haklarını kullanabilmelerine imkan sağlayarak güç boşluğunu azaltır. Pay sahiplerinin genel kurula katılması önündeki zorlukların pozitif hukuk ile azaltılması, yatırımcılar tarafından iyi kurumsal yönetim uygulamasının bir göstergesi olarak algılanmaktadır. Buna rağmen literatürde genel kurul toplantılarının elektronik ortamında yapılması konusu üzerinde yeterince durulduğu söylenemez. Bu çalışmada, Türk Ticaret Kanunu ve ikincil mevzuat ile düzenlenen elektronik genel kurul toplantısının, pay sahipliği haklarının kullanılmasına etkisi incelenmiştir. Çalışmanın sonucu elektronik genel kurul uygulamasının yönetimde oluşan güç boşluğu sorununu çözmek adına önemli bir adım olduğunu fakat mevcut düzenlemenin pay sahiplerinin genel kurula katılma ve haklarını kullanma olanaklarını kısıtladığı noktaların da mevcut olduğu göstermektedir. Bu çalışma, mevzuatımız çerçevesinde yapılan değerlendirmeler sonucunda pay sahiplerinin uygulamada karşılaşabileceği sorunlara çözüm önerileri sunmayı amaçlamaktadır.
Dispersed ownership is not the rule except for the US and UK. Instead, companies are concentrated in the hand of families in the rest of the world. It is stated that the quality of transparency is directly associated with the ownership structures. Thus, it is not possible to comprehend transparency practise followed by firms without understanding how their capital structure and dynamics of this structure affect their management. Previous studies have found that Turkish joint-stock companies have highly concentrated and centralized family based ownership structure but the foundations of having this ownership structure are rarely taken into consideration. This is particularly important in setting the standards for transparency. This study attempts to trace back the ownership structure of Turkish companies to explain why families are the dominant shareholders in this structure. The results show that heavy government intervention in business activities affects the complexity of organizational structures and the transparency practices of companies.
