REZIME: Mnoge sfere društvenog života u Srbiji i Republici Srpskoj su zakonskim propisima regulisane na isti ili sličan način. Zakonom o privrednim društvima, između ostalog, se uređuje i pravni položaj privrednih društava kako u Srbiji, tako i u Republici Srpskoj. Međutim postoje određene razlike između ova dva propisa, koje su naročito nastale donošenjem Zakona o privrednim društvima Srbije iz 2011. godine. U Republici Srbiji organi upravljanja u društvu sa ograničenom odgovornošću su: skupština i jedan ili više direktora, ako je jednodomno i skupština, nadzorni odbor i jedan ili više direktora, ako je dvodomno upravljanje, dok su u Republici Srpskoj organi upravljanja u društvu sa ograničenom odgovornošću: skupština i direktor ili upravni odbor. Iako nije razlika između ova dva propisa samo u dijelu koji se odnosi na organe upravljanja u društvu sa ograničenom odgovornošću, autor se opredelio za ovu temu zbog samog značaja društva sa ograničenom odgovornošću, kao najzastupljeniji oblik privrednog društva u Srbiji i u Republici Srpskoj. Cilj rada je da se prvo ukaže na razlike između organa upravljanja društva sa ograničenom odgovornošću u Srbiji i Republici Srpskoj, statusna pitanja, način rada, nadležnosti, a potom i da se ukaže na pozitivne i negativne odredbe oba zakonska propisa u smislu upravljanja društvima sa ograničenom odgovornošću.
Korupcija i privatizacijaApstrakt: Korupcija se smatra univerzalnom pojavom jer je prisutna u svim državama, u svim sistemima, a sve države vode borbu za njeno suzbijanje, sa manje ili više uspeha. Korupcija kao generalni fenomen u svetu, izuzetno je aktuelan problem u postkonfliktnim zemlјama koje su u tranziciji (Srbija, Bosna i Hercegovina...). Tranzicijski procesi, privatizacija i sam proces stvaranja konkretne države na potpuno novim osnovama, pogodovali su širenju korupcije na svim nivoima i u svim oblastima društvenog života. Cilј ovog rada nije bio ukazati na loše ili dobre fi-nansijske efekte privatizacije ili na nužnost društvene tranzicije, nego na propuste ili zloupotrebe u samim pos-tupcima privatizacije, odnosno neke specifične primere korupcije u procesu privatizacije, bilo da su učinjeni od strane državnih organa ili od strane pojedinaca, kao i definisati najbolјe postupke za privatizaciju i šta bi trebalo učiniti da bi se smanjila korupcija u privatiza-ciji.Klјučne riječi: korupcija, privatizacija, modeli privatizacije, država.UVODNA RAZMATRANјA U najopštijem smislu korupcija podrazumeva zloupotrebu javne službe radi postizanja lične koristi. Sam pojam "korupcija" potiče od latinske reči "corruptio", a označava: "pokvarenost, podmićivanje, potplaćivanje, izopačenost, krivotvorenje..." 1 . Korupcija se smatra pa-tološkom pojavom, nemoralnom i štetnom po društve-nu zajednicu. U pravnom smislu korupcija se definiše na razne načine i kroz razna krivična dela (primanje i davanje mita, protivzakonito posredovanje, zloupotreba službenog položaja, i dr.).
Under the economic torts in general we mean various abuses and illegal actions in economic and financial business, ie acts directed against the economy in the broadest sense. Theoretically, there is a distinction between economic offenses in the narrower and broader sense. According to the narrower understanding, economic crimes are only criminal acts committed in the economy, ie. criminal offenses against the economy and payment transactions as defined in the Criminal Code. On the other hand, according to a broader understanding, economic torts mean all criminal offenses that are prosecuted in court or by other competent authorities. According to this broader understanding, economic offenses include criminal offenses against the economy, but also economic offenses. Article 2 of the Law on Misdemeanors defines a misdemeanor as an illegal act that constitutes a violation of public order or regulations on economic and financial operations, and which is prescribed as such by law or other regulation. Economic misdemeanors therefore represent a special category of criminal offenses against economic and financial operations (a category that previously existed as an independent offense called economic crime and which as such still exists in neighboring countries, such as Serbia). In this regard, the intention of the authors is to point out in the paper the numerous economic violations prescribed by numerous laws and other harsh acts, which are pronounced in the daily work of the bodies responsible for control and inspection.
