O mercado brasileiro caracteriza-se por estruturas de propriedade concentradas, em um ambiente legal propício à expropriação de minoritários, o que pode influenciar os incentivos aos decisores e, potencialmente, afetar a decisão sobre a utilização de dívida como forma de financiamento das empresas. Este trabalho buscou estudar o nível de endividamento em empresas controladas por um único acionista, aqui classificadas como empresas com alta propensão à expropriação de minoritários, em uma amostra de 322 empresas negociadas na Bovespa entre 1996 e 2002. Os resultados apontaram um menor nível de endividamento dessas empresas, de forma consistente com a hipótese de maior poder de monitoração dos credores. Por outro lado, o seu nível de endividamento aumenta quando decresce o direito dos majoritários aos fluxos de caixa gerados, o que sinaliza para a utilização da dívida como mecanismo de governança.
Governance in concentrated ownership structures: new evidences from BrazilThe article aims to analyze the influence of ownership structure in the efficiency of publicly traded companies in Brazil, where is identified a higher concentration of stocks in the hands of a small group of people. The study combines static optimization techniques using Data Envelopment Analysis (DEA) to identify the efficiency of publicly traded companies, with panel data to identify the influence of ownership structure in the efficiency of the companies, seeking to add the corporate governance to the literature of productive efficiency in the context of institutional differences in the Brazilian environment, to complement previous studies that only consider outputs as efficiency measures. The results showed that the ownership structure negatively influences the efficiency, contrary to most studies based on the American model and showing that the peculiarities of the countries should be taken into consideration, particularly with respect to their legal origin.
O conflito de interesses entre executivos e proprietários é uma questão amplamente difundida na academia, já documentada em 1932 por Berle e Means, trazendo à tona o clássico conflito de interesses entre agente e principal discutido pela Teoria da Agência. A premissa por trás da governança corporativa é que as pessoas que estão dentro das corporações não necessariamente agem visando o melhor para os provedores de fundos. Partindo deste pressuposto, o trabalho em questão visa verificar a influência dos aspectos de governança corporativa na eficiência das empresas de capital aberto brasileiras. O estudo une técnicas de otimização estática através de Análise Envoltória de Dados (DEA) para identificar a eficiência das empresas de capital aberto, com Dados em Painel para identificar a influência da governança corporativa na eficiência das empresas. Os dados foram coletados manualmente dos relatórios 20-F da Security Exchange Commission (SEC) das empresas brasileiras que possuem American Depositary Receipts (ADRs), já que a base de dados não está disponível, no Brasil, de uma forma completa. Grande parte das hipóteses foi confirmada, evidenciando as condições particulares das finanças corporativas no Brasil no que tange a Governança Corporativa. A incipiência do mercado de capitais brasileiro é percebida em várias análises, ressaltando que o histórico do sistema corporativo brasileiro é um dos limitantes da eficiência das empresas. As condições que prevalecem são: (i) alta sobreposição propriedade-direção; (ii) conselhos de administração de baixa efetividade; (iii) em grupos familiares, os papéis dos acionistas, dos conselhos e da direção não são bem definidos; (iv) existe pouca clareza quanto à relação benefício-custo da boa governança; (v) baixa eficácia dos conselhos de administração; e (vi) indícios de conflitos de interesses, relativizados por incentivos explícitos e implícitos.
RESUMO O objetivo deste estudo é apresentar quais os impactos da divulgação dos eventos da Zelotes nas cotações das ações das empresas brasileiras listadas na Bolsa de Valores de São Paulo-BOVESPA citadas nessa operação. A análise foi realizada utilizando o modelo de Estudo de Eventos. Foram analisados os impactos em três empresas abertas brasileiras. O estudo indica que os resultados apurados não são significantes, com 95% de confiança, validando, portanto, a hipótese nula, ou seja, não há diferenças significativas entre o retorno normal e o retorno anormal. Portanto, foi possível concluir, preliminarmente, que o mercado foi indiferente, no longo prazo, às denúncias envolvendo as empesas analisadas, corroborando a tese de que o mercado brasileiro não reage de maneira significativa aos problemas de corrupção. This paper examines the hypothesis of asst return predictability in the Brazilian Stock Market (Bovespa). Evidence suggests that seven factors explain most of the monthly differential returns of the stocks included in the sample. Within the factors that present statistically significant mean, two are liquidity factors (market capitalization and trading volume trend), three refer to price level of stocks (dividend to price, dividend to price trend, and cash flow to price), and two relate to price history of stocks (3 and 12 months excess return). Contradicting theoretical assumptions, risk factors present no explanatory power on cross-sectional returns. Using an expected return factor model, it is contended that stock returns are quite predictable. An investment simulation shows that the model is able to assemble portfolios with statistically significant higher returns. Additional tests indicate that the winner portfolios are not fundamentally riskier suggesting mispricing of assets in the Brazilian stock Market.
