La nueva redacción dada por la Ley 16/2007 a los artículos 42 a 49 del Código de Comercio, así como la aprobación de un nuevo Plan General de Contabilidad, imponía la necesidad de modificar, no más tarde del 31 de diciembre de 2008, el Real Decreto 1815/1991, de 20 de diciembre, aplicable a la formulación de cuentas anuales consolidadas. Con todo, el ICAC ha considerado que en estos momentos no resultaba oportuna la aprobación de una nueva norma de consolidación, dado que la Unión Europea se encuentra todavía discutiendo la adopción de las nuevas versiones de la NIIF n.º 3 y la NIC 27. No obstante, el ICAC publicó el pasado mes de diciembre una nota explicativa sobre cómo cumplir con la obligación de presentar las cuentas anuales consolidadas correspondientes a los ejercicios cerrados a partir del 1 de enero de 2008, para lo cual aborda las siguientes cuestiones: 1.º qué artículos del Real Decreto 1815/1991 siguen vigentes y cuáles han quedado tácitamente derogados y en qué sentido; 2.º qué formatos de estados contables y qué contenido mínimo han de tener las cuentas anuales consolidadas; y 3.º la aplicación por primera vez de las nuevas normas; o cómo se incorporan al balance consolidado de 2008 los activos y pasivos existentes en el balance consolidado de ejercicios anteriores.
