This study characterizes the mergers and acquisitions undertaken in the Spanish agrifood sector during the period 1995–2005. First, it aims to establish the pre‐merger financial characteristics of the merging cooperatives in comparison with other firms in the agrifood sector. For this, the financial situation is analyzed in the different types of merger carried out (merger by formation or merger by acquisition), and the different roles played by the cooperatives (acquiring, acquired or involved in a merger in which a new cooperative is formed). The second and final objective is to determine whether these mergers have managed to improve the economic‐financial situation of the companies involved, either by increasing income and size or by reducing relative costs. For this purpose, several non parametric tests and a probit model were used. The results show that on average following a merger there were no statistically significant improvements in the economic‐financial indicators studied.
El gobierno interno de las mayores cooperativas agroalimentarias españolas y su relación con el rendimiento Resumen. El presente estudio pretende analizar la relación existente entre las estructuras de gobierno de las mayores cooperativas agroalimentarias españolas y sus resultados empresariales, para comprobar -si al igual que se ha demostrado en estudios recientes sobre cooperativas agroalimentarias europeas-, las cooperativas que muestran una mayor innovación en sus estructuras de gobierno (en aspectos tales como la profesionalización de la gestión, inclusión de voto proporcional o presencia de expertos externos en los Consejos Rectores o Supervisores), presentan mejores resultados que las cooperativas que no poseen dichos atributos. Los resultados obtenidos corroboran que el rendimiento (medido en facturación por socio) de las cooperativas agroalimentarias españolas analizadas se ve afectado positivamente por la introducción de algunas innovaciones en sus sistemas de gobierno interno, como es el caso de la inclusión de expertos externos en el Consejo Rector y en el Consejo Supervisor. Además, el estudio arroja otras conclusiones vinculadas con la envergadura o dimensión de la cooperativa, constatándose que las cooperativas de mayor dimensión (medida en este caso por el volumen de activos) son capaces de proporcionar un mayor y significativo rendimiento; a diferencia de lo que ocurre con el número de socios, cuyo efecto en el rendimiento es significativo y negativo. Hoy en día se reconocen las sociedades más desarrolladas por contar con un emprendimiento innovador que hace un uso intensivo del conocimiento y utiliza las tecnologías más avanzadas. Estas sociedades, si además de economías competitivas pretenden ser sociedades más justas, solidarias y sostenibles deben también emprender con valores que les conduzcan a ello. El presente trabajo pretende abordar la necesidad de avanzar en una economía más intensiva en conocimiento, especialmente tecnológico, que permita afrontar el reto que supone la llamada 4ª revolución tecnológica, contribuyendo al desarrollo de una sociedad más competitiva y al mismo tiempo con valores. Así, este trabajo realiza una revisión de la realidad de la universidad española, y de su papel ante el reto tecnológico. Además, efectúa un análisis de la presencia y peso de la economía social en aquellos sectores más identificados con la llamada cuarta revolución industrial, y establece que no existen diferencias de ámbito económico-financiero que puedan explicar la previamente constatada menor presencia de las fórmulas de economía social frente a las de capital. De la revisión y el análisis efectuado, este trabajo concluye que para que se avance en esta economía competitiva y con valores, es crucial el papel de la universidad, fomentando y desarrollando un emprendimiento innovador, inteligente y con valores. En las últimas cuatro décadas la Economía Social ha experimentado un importante avance en términos cuantitativos y cualitativos, y también lo ha hecho el emprendimiento, en particular, el universitario, contribuyendo a avanzar en la generación de una economía con mayor uso del conocimiento y, sobre todo, con valores. Sin embargo, continúa siendo necesario impulsar el uso de fórmulas de Economía Social en el emprendimiento derivado del ecosistema universitario, y con ello su grado de presencia en los sectores tecnológicos más avanzados, y en particular en los más estrechamente vinculados a la llamada cuarta revolución industrial.
Resumen. El cooperativismo agroalimentario español se caracteriza por tener una gran implantación económica, social, y geográfica. Ahora bien, entre sus principales debilidades está la importante fragmentación de las mismas, con muchas entidades de tamaño muy pequeño, que las posiciona en una situación de vulnerabilidad frente al mercado. En este contexto, la ley 13/2013, para promover la integración asociativa, con la figura de la Entidad Asociativa Prioritaria (EAP), y el RD 550/2014, que establece los requisitos y el procedimiento para su reconocimiento, debe de influir en el tamaño de las organizaciones cooperativas. Ante esta realidad, por medio de una encuesta realizada a las 274 cooperativas españolas con secciones de mayor tamaño, analizamos la potencial consecución de los objetivos planteados en la ley (con su actual configuración), para incrementar el tamaño de las cooperativas agroalimentarias españolas, ya que hasta la fecha ésta ha tenido una acogida limitada (tan solo 6 entidades han obtenido el reconocimiento). Al mismo tiempo, se analiza si la razón de tal escasa aplicación se encuentra en el nivel de dificultad en alcanzar los requisitos mínimos establecidos en la misma. Del análisis de la encuesta, hemos estudiado: -El grado de alcance esperado de los cuatro objetivos de la ley, prestando especial interés en el incremento de dimensión para las cooperativas en función de su tamaño, -El nivel de dificultad para alcanzar los requisitos establecidos para reconocerse como EAP. Aim of study: This study reviews the state of the art of collaboration for social innovation in food and rural systems. The analysis focuses on cooperation by farms and agro-industry companies. The purpose is to identify not only the state of the art of this research topic but also the main authors, the countries where these studies are conducted and the dynamics of research networks in relation to these topics. Area of study: Latin America and the Caribbean (LAC). Material and methods: The Web of Science database was used to search for articles containing the terms ‘cooperation’, ‘networks’, ‘innovation’, ‘social’, ‘rural’ and ‘LAC’. Using VOSviewer network creation and analysis software, maps of citations, co-authorship, co-citations and co-occurrence of key-words were created and analysed. Content analysis was then performed. Finally, the research areas that the authors of the analysed articles consider to be of interest for future research were identified.
