Diesem Themenkreis, der angesichts steigender Übertragungswerte immer wichtiger wird, ist die Arbeit von Küper, eine von Birk in Münster betreute Dissertation, gewidmet. Sie geht der Frage nach, ob dem EG-Vertrag ein Meistbegünstigungsprinzip dergestalt zu entnehmen ist, dass jeder Mitgliedstaat die beschränkt Erbschaftsteuerpflichtigen aller anderen Mitgliedstaaten abkommensrechtlich gleich behandeln muss. Wäre dies so, hätte sich die Gleichbehandlung nach dem Maßstab zu richten, den der Quellenstaat mit seinem am weitesten reichenden DBA an anderer Stelle gesetzt hat (S. 35 f.).Der erste der beiden Hauptteile bildet eine Art Bestandsaufnahme. Küper beschreibt ausführlich die Besteuerung internationaler Erbschaften und Schenkungen in Deutschland und Europa (S. 37 ff.) und misst diesbezüglich insbesondere die Reichweite der Erbschaftsteuerpflicht aus. Wenn sie anschließend die Problematik der internationalen Doppelbesteuerung darlegt (S. 71 ff.) und dabei nicht nur deren Ursachen sowie die Gründe und Methoden ihrer Vermeidung aufzeigt, sondern auch die schmalen Maßnahmen beschreibt, die mit Blick auf internationale Erbschaftsfälle tatsächlich ergriffen wurden, beginnt sich der Leser gedanklich bereits an den Strohhalm einer europarechtlichen Meistbegünstigung zu klammern. Mit den Urteilen »Bremer Vulkan« 1 , »L-Kosmetik« 2 und »KBV« 3 hat der BGH den konzernspezifischen Haftungstatbestand des »qualifiziert faktischen Konzerns« im GmbH-Konzernrecht aufgegeben und rekurrierend auf allgemeine gesellschaftsrechtliche Prinzipien die Haftung wegen Existenzvernichtung geschaffen. 4 Trotz des neuen dogmatischen Fundaments ist aber auffällig, dass die vom BGH entschiedenen Fallgestaltungen größtenteils gleichwohl einen GmbH-Konzernverbund zum Gegenstand hatten. 5 Der Grund hierfür ist darin zu sehen, dass eine abhängige Gesellschaft für nicht individualisierbare oder nicht quantifizierbare Nachteilszufügungen besonders anfällig ist (sog. »qualifizierte« Nachteilszufügung 6 ). Ungeachtet des Rechtsprechungswandels wird sich daher der existenzvernichtende Eingriff typischerweise innerhalb eines Unternehmensverbundes ereignen, zumal andernfalls in aller Regel bereits die Kapitalerhaltungsregeln einschlägig sind. 7 Dennoch ist bislang ungeklärt, welche aktienkonzernrechtlichen Konsequenzen sich daraus ergeben, dass der BGH »qualifizierte« Nachteilszufügung bei der GmbH nun nach allgemeinen Rechtsgrundsätzen behandelt.
