administraciones públicas ante la sociedad. Para ello, se diseñó un índice de transparencia (IT) y se vinculó con la cantidad de casos de corrupción que tienen incidencia en los 17 departamentos en los que se ubican dichos territorios. La relación se estudia desde la teoría de agencia, la cual explica el vínculo entre principal (ciudadanos) y agente (Estado) y los problemas de asimetrías de información que se dan entre estos. La existencia y el acceso a información pública pueden servir como una forma de acercar al principal y al agente, mitigando la discrecionalidad de los segundos y posibilitando el control por parte de los primeros. Los resultados indican niveles medios de transparencia y la existencia de una relación inversa con la corrupción, lo que reafirma que a mayor corrupción menor transparencia.
<p>La corrupción es uno de los flagelos más concurrentes en el mundo y Colombia no ha sido ajena a él, pues de acuerdo con las mediciones realizadas por Transparencia Internacional (2012-2014), el índice de percepción de corrupción en el país es significativo. Para minimizar esta situación, se han implementado varias medidas de control y sanción, como la obligación de hacer visible el informe de control interno en los sitios web de las entidades estatales, para posibilitar el control social, según lo dispuesto en la Ley 1474 de 2011. Así, la presente investigación aborda de forma empírica y descriptiva el grado de cumplimiento en la publicación de ese informe por parte de las entidades de la rama ejecutiva del orden nacional del nivel central en Colombia, para analizar su contenido y poder entender qué tanto contribuyen al control social. Los resultados evidencian grados intermedios y bajos de cumplimiento tanto en la publicación de los informes, como en el contenido que se espera que tengan, lo cual limita el acceso a una información útil para realizar control social sobre este tipo de entidades.</p>
<p>Este artículo expone el efecto de la adopción de las Normas Internacionales de Información Financiera (NIIF) en la revelación de información en empresas cotizadas en Colombia y examina la asociación entre el nivel de cumplimiento de los requisitos de revelación de las NIIF y las características de las empresas, como posibles impulsores adicionales de la revelación de información. Se realiza un análisis de contenido de las notas de los estados financieros publicados en los años 2014 y 2015 de compañías cotizadas colombianas para observar el cumplimiento de los requisitos de revelación y se hace uso de un modelo de Mínimos Cuadrados Ordinarios con datos de corte transversal para establecer sus posibles determinantes. El estudio evidenció una mejoría en la revelación de la información contable, a partir de la adopción de las NIIF y se determinó que la internacionalización de las compañías tiene una relación positiva y significativa con la mayor revelación de información.</p>
Purpose
This study aims to examine how corruption influences the voluntary disclosure of corporate governance (CG)-related information by developed country multinationals (DC-MNEs) and emerging market multinationals (EM-MNEs) investing in six Latin American countries.
Design/methodology/approach
The study uses information from 300 MNEs included in the 2018 ranking of the 500 Largest Latin American companies (America Economía, 2018). Each MNE’s final annual report for the financial year ending 2018 was examined and coded to obtain the corporate governance disclosure index. Fractional probit regression was applied to test the hypotheses of the research.
Findings
DC-MNEs disclose more CG-related information in corrupt environments than EM-MNEs. This differentiated behavior occurs because DC-MNEs face higher legitimacy pressures in corrupt environments than EM-MNEs and because EM-MNEs are more experienced than DC-MNEs in dealing with such corrupt environments.
Practical implications
While both EM-MNEs and DC-MNEs need to continue investing in corrupt countries to grow, they need to disclose CG-related information as a strategic tool to manage the legitimacy issues triggered by corruption in the markets they operate.
Originality/value
Despite corruption being pervasive in emerging markets, its implications for firms’ strategic behaviors are still under-researched. This paper extends the scope of corporate governance and international business fields by studying how MNEs respond to relevant dimensions of the macro environment. This research shows that voluntary disclosure of CG-related information is a strategic response of the MNEs to gain legitimacy in corrupt environments.
