L’objectif de cet article est d’apporter une contribution à la gouvernance de l’entreprise en mobilisant le contexte sénégalais à travers ses institutions de microfinance (IMF). Nous avons cherché à identifier les interrelations entre les mécanismes internes de gouvernance (la forme juridique et les caractéristiques du conseil d’administration) en expliquant leur impact sur les performances financière et sociale des IMF. En mobilisant une méthodologie quantitative, nous avons mis en évidence deux types de résultats. D’une part, la forme juridique est substituable à certaines caractéristiques disciplinaires du conseil d’administration telles que la taille du conseil d’administration (CA), les comités spécialisés du CA. D’autre part, les effets de complémentarité entre certaines variables du CA et les effets de substituabilités. Par ailleurs, après spécification des modèles de régression, nous parvenons à deux conclusions principales. Premièrement, les CA de petite taille et le mode de fonctionnement du CA garantissent une meilleure performance financière des IMF. Deuxièmement, la forme juridique, le style de gouvernance et la plus grande taille des conseils sont déterminants pour expliquer la performance sociale des IMF.
