Purpose Although the concepts of family business, internationalization, and agency theory have received some attention in the relevant literature, these concepts and theories have been used independently. The purpose of this paper is to help close the gap between what is known and what needs to be known about the decision-making processes of internationalization of family managers (FM) and non-family managers (NFMs). Design/methodology/approach The paper analyzes the story of Busscar, a Brazilian firm that began internationalization under an FM and ended it under an NFM. The management transition took place suddenly, as the family CEO died in a tragic accident, and the company appointed an NFM to replace him virtually overnight. These circumstances, as well as the fact that Busscar accelerated its internationalization process after the transition only to go bankrupt a few years later makes this case critical. Findings The paper concludes that under NFMs, the speed and scope of the firm internationalization processes were accelerated and the financial risks were augmented, which is in line with the agency theory hypothesis and contradicts suggestions that NFMs tend to be more structured. Research limitations/implications Many researchers argue that it is important to professionalize the management of family firms. It is expected that an NFM leads to a more structured strategy. The study shows otherwise; changing the manager leads to opportunistic internationalization using emerging strategies rather than deliberate ones. Originality/value This study suggests that firms, networks, entrepreneurship, and ownership are not the only important variables. Manager origin (inside or outside the family) can change everything.
Purpose: For the stability of the organizational environment, corporate governance has become an indispensable condition. By adopting corporate governance codes, companies seek to compete differently in the market, valuing transparency as a guiding principle of relationships established in the various business segments. This article aims to compare the characteristics of corporate governance codes adopted by Latin American countries, including Brazil, Mexico, Argentina, Colombia, Chile, and Peru, through the set of practices recommended by the UN. Originality/value: The article studies the adoption of corporate governance codes adopted by Latin American countries, including Brazil, Mexico, Argentina, Colombia, Chile, and Peru. Design/methodology/approach: This is a qualitative and quantitative descriptive study. The data were analyzed in-depth using content analysis techniques and complemented by hierarchical cluster analysis, with the Ward method, using the Jaccard and the Russell and Rao methods. Findings: It was found that the corporate governance codes issued by Brazil, Colombia and Argentina converge with the UN guide. While the corporate governance code issued by Peru partially converges. The observed convergence suggests a concern with the demands of international investors. Finally, it was found that the corporate governance codes issued by Chile and Mexico have low convergence with the UN guide. This represents the lowest level of convergence between the countries investigated, indicating a greater concern with the local context than with international standards.
A Análise de Redes Sociais (ARS) pode ser aplicada como ferramenta para a compreensão das relações e conexões, se na rede há realização de trocas de negócios como ofertantes e compradores entre os integrantes do grupo de microempreendedores. Assim, o objetivo desta pesquisa é analisar a rede de interações de um grupo de microempreendedores de um condomínio residencial paulistano em tempos de COVID-19, com sustentação na abordagem teórica de análise de redes sociais. O artigo estuda a adoção de análise de redes sociais em negócios de microempreendedores, pouco explorados sobre o tema de forma integrada. Projeto / metodologia / abordagem: Estudo descritivo e exploratório com análise em profundidade pelo uso de técnicas de análise de redes sociais, complementada pela análise de regressão simples. Constatações: Verificou-se que o objetivo do estudo foi analisar a rede de interações de um grupo de microempreendedores de um condomínio residencial paulistano em tempos de Covid-19, com sustentação na abordagem teórica de análise de redes sociais. Conforme os dados obtidos, no grupo de microempreendedores é possível identificar que há um relacionamento muito forte entre os atores da rede, com poucos atores tipo hub, ampliando a troca de informações dentro da rede, como se esperava no objetivo deste artigo
Objetivo: apresentar os índices de eficiência financeira dos clubes brasileiros, os atores e as interações que se destacaram nos fluxos de jogadores com os clubes semifinalistas de São Paulo em 2017.Método: na primeira etapa, extraíram-se informações sobre fluxos de jogadores e, na segunda etapa, dados sobre a receita operacional, fornecedores, custo de atletas profissionalizados e atletas não profissionalizados nos clubes do Brasil.Principais resultados – os escores eficiência financeira forneceram evidências do nível máximo de uso de recursos de atletas profissionalizados e não profissinalizados na geração de receita operacional no Palmeiras e Atlético Mineiro. Em relação aos atores tem-se que os clubes Grêmio Osasco Audax e Cruzeiro Esporte Clube disponibilizaram mais jogadores para os clubes semifinalistas. Nos fluxos de jogadores entre clubes do Brasil e de outros países, destacaram-se as equipes da Itália e de Portugal.Relevância/originalidade: demonstrar os scores de eficiência máximo dos clubes no uso de recursos na geração de receita operacional, os atores de destaque e as interações nos fluxos de jogadores.Contribuições metodológicas:uso simultâneo de técnicas paramétricas e não paramétricas como a Regressão Linear Múltipla, a Análise Envoltória de Dados (DEA) e a Análise de Redes sociais (ARS).Contribuições para a gestão: criação de indicadores de eficiência financeira como ferramentas de apoio à tomada de decisões gerenciais em clubes de futebol.
