Works council effectiveness in subsidiaries of MNCs during reorganizations: Case study evidence from the Netherlands

Abstract: Internationalization of organizations has been a threat for (national) industrial relations. This study compares three cases to test the influence of works councils on decision-making in multinational companies (MNCs), going through reorganizations. The authors argue it is important to take account of internal factors in the subsidiary, namely the power capabilities and interests of the actors involved. “…However, while it is important to set out these definitions in law, it is also crucial in individual organisations to develop a common internal cultural understanding of what is confidential and what is not, and why information should be deemed confidential. In all areas, an alignment of understanding of issues between worker representative and management, underpinned by trust and transparency, is crucial in the successful fulfilment of respective roles (Sapulete and Van den Berg, 2017). Here, ideally, legal change would be bolstered by social partner action, in the form of, for example, codes of practice or guidelines, developed by worker representatives in conjunction with the Association of Work Councils and/or the Slovenian Directors' Association.…”

“…Finally, as external needs and expectations have recently shifted for universities, and in particular, the subunits, governance options need to evolve with those requirements. In an effort to morph US shared governance structures to operate more efficiently in times of crisis (Stouten et al , 2018), colleges of business could consider a works council model similar to organizations in Germany or The Netherlands (Mählmeyer et al , 2017; Sapulete and van den Berg, 2017). Such a structure could yield potentially beneficial outcomes as each person on the council (administrators and the faculty) comes to the table with the goal of moving the organization forward, not meeting faculty or administrator self-interests (Kaplan, 2004).…”
