We address the failures of the implementation of the European Company Directive and their far-reaching consequences, and discuss options for necessary amendments and improvements. We present empirical data on the characteristics of European companies and their distribution across EU Member States, and discuss major unexpected results of transposition and implementation as well as many evident problems. We then develop options for amendments, including definition of structural changes, mandatory introduction of employee involvement and extension of the ‘before and after’ principle. Finally, we analyse the history of the review process and explain why amendments have not and will most likely not be introduced despite obvious failures and deficiencies.

Dieser Beitrag untersucht, ob die Existenz nationaler gesetzlicher Regelungen zur Mitbestimmung auf Unternehmensebene ein Motiv zur Gründung Europäischer Aktiengesellschaften (Societas Europaea, SE) darstellt. Das Gesellschaftsrecht dieser supranationalen Rechtsform besitzt in weiten Teilen grenzübergreifende Gültigkeit. Hiervon ist auch der Bereich zur unternehmerischen Arbeitnehmermitbestimmung betroffen. Der Umfang von Mitbestimmungsrechten ist für die SE nicht, wie in vielen Mitgliedsstaaten des Europäischen Wirtschaftsraums (EWR), explizit durch den Gesetzgeber vorgegeben, sondern wird zwischen Arbeitgebern und Arbeitnehmern frei ausgehandelt. Durch ein gesetzlich vorgeschriebenes Mindestmaß an Mitbestimmung können die Eigentümer von Unternehmen finanzielle Verluste erleiden. In den betroffenen Ländern sollten die SE und frei ausgehandelte Beteiligungsrechte dementsprechend als attraktiver empfunden werden. Basierend auf einem selbst zusammengestellten Datensatz zeigen die Ergebnisse negativ binomialer Regressionsanalysen, dass die Existenz nationaler gesetzlicher Regelungen zur Arbeitnehmermitbestimmung einen positiven Einfluss auf die Anzahl von SE-Gründungen in einem EWR-Land hat.

Il est peu probable que la principale raison de la création d'une grande partie d'entre elles ait été de réduire les droits de participation des salariés, comme l'a confirmé une récente étude (Eidenmüller, Lasak, 2011). Cet article examine les évolutions récentes relatives à l’implication des travailleurs dans la société européenne (SE) et analyse dans cette perspective l’impact de la SE sur les relations professionnelles européennes. L’article démontre que la SE a effectivement apporté certaines innovations et un nouvel élan à la fois au niveau national et européen : elle pourrait donc être plus performante que ce que pourrait laisser supposer sa réputation médiocre. C’est d’autant plus vrai si l’on tient compte des droits nouveaux (quoique limités) octroyés par la législation sur la SE et du contexte de son introduction : la SE n’a jamais été conçue en premier lieu comme un instrument de politique sociale, mais comme un moyen de favoriser la mobilité transfrontalière des entreprises à l’intérieur du marché intérieur de l’UE.
