PurposeThe aim of this paper is to describe the main characteristics of het two most recognised models in Spain: worker cooperatives and worker-owned companies (Sociedades Laborales).Design/methodology/approachTo this end, a review will be carried out of the main factors from the regulatory and financial framework and the support structures of these organisations model.FindingsThe main findings are the constant decrease in the number of SSLL over the past ten years and a certain decrease in the number of worker cooperatives. Some of the reasons put forward for this decline are the lack of effective favourable tax treatment; the establishment of more favourable measures for capitalist companies; the change of the single payment of unemployment benefits; the lack of knowledge and training professionals and politicians.Originality/valueThe main contribution of this paper is to provide a recent analysis of the regulatory changes and developments in the field of worker cooperatives and worker-owned companies in Spain.

El presente artículo estudia el emprendimiento colectivo a través de las dos figuras jurídicas que el derecho positivo establece para el desarrollo del trabajo asociado: cooperativas de trabajo asociado y sociedades laborales. Autoempleo colectivo como fórmula alternativa con respecto al trabajo asalariado por cuenta ajena, y al autoempleo individual en forma de trabajo autónomo. El estudio se basa en las principales aportaciones generales tanto doctrinales como jurisprudenciales, para centrarse en el ámbito vasco en lo que se refiere al derecho positivo cooperativo. El objetivo principal consiste en aportar un mejor conocimiento de la naturaleza, características y arquitectura jurídica de cooperativas de trabajo asociado y sociedades laborales, sobre todo en el complejo aspecto de la relación jurídica entre la persona socia y trabajadora y la empresa de la que es partícipe. La naturaleza de esa relación determinará el ordenamiento jurídico aplicable. Autoenplegu kolektiboa aukera alternatibo gisa, besteren kontura eta soldatapeko lanarekiko; eta langile autonomoen autoenplegu indibidualarekiko. Ekarpen orokor nagusietan oinarritzen da ikerketa, doktrinazkoak zein jurisprudentzialak, zuzenbide positibo kooperatiboari dagokionez euskal eremuari erreparatuz. Helburu nagusia lan elkartuko kooperatibak eta lan sozietateak hobeto ulertzea da, beren izaera, ezaugarriak, eta arkitektura juridikoa; batez ere langile-bazkidearen eta bera parte den enpresaren arteko harreman juridikoaren alderdi konplexuan. This article studies collective entrepreneurship through the two legal figures that positive law establishes for the development of associated work: worker cooperatives and labor employee-owned companies (sociedades laborales). Collective self-employment as an alternative formula with respect to salaried work for others, and individual self-employment. The study is based on the main general contributions, both doctrinal and jurisprudential, to focus on the Basque area as regards cooperative positive law. The main objective is to provide a better understanding of the nature, characteristics and legal architecture of worker cooperatives and employee-owned companies, especially in the complex aspect of the legal relationship between the worker-members and the company in which they participate. The nature of that relationship will determine the applicable legal system.

Performance of spanish cooperatives: from the Great Recession to the COVID-19 pandemic

El estudio se centra en las cooperativas españolas a lo largo del período (2008-2020). Como vemos, en él están incluidos los años de la Gran Recesión, los años de auge que siguieron y el, hasta la fecha, peor año de la crisis del COVID-19. El objetivo general es evaluar el comportamiento de las cooperativas desde la crisis financiera hasta 2020. Este objetivo se desglosa en tres objetivos específicos: i) Analizar los efectos de la crisis sanitaria en el número de cooperativas y en el empleo dentro de las mismas. ii) Analizar los cambios en el desempeño económico de las cooperativas, representado por los índices de rentabilidad económica y financiera. iii) Evaluar si la pertenencia a un determinado sector de actividad afecta a la rentabilidad de las cooperativas. Los resultados indican que la crisis de 2008 y la pandemia del COVID-19 incrementaron el comportamiento procíclico del empleo cooperativo. Sin embargo, el autoempleo fue menos elástico que el empleo asalariado. Los resultados de rentabilidad muestran que la crisis del COVID-19 no afectó consistentemente la rentabilidad económica y financiera de las cooperativas. El sector agroalimentario resistió la Gran Recesión y mostró un comportamiento contracíclico en el año de la pandemia.
