Peran Notaris Dalam Meningkatkan Terlaksananya Rapat Umum Pemegang Saham Tahunan Pada Perseroan Terbatas Tertutup

Abstract

Di Indonesia, Perseroan Terbatas Tertutup merupakan salah satu bentuk usaha yang memiliki salah satu organ penting yaitu Rapat Umum Pemegang Saham Tahunan. Pada kenyataannya, pelaksanaan Rapat Umum Pemegang Saham Tahunan tersebut masih jarang dilaksanakan padahal Notaris selaku pejabat satu-satunya yang diberi kewenangan dapat berperan untuk meningkatkan terlaksananya Rapat Umum Pemegang Saham Tahunan. Metode penelitian ini menggunakan penelitian hukum normatif dengan didukung oleh data dari hasil wawancara. Hasil penelitian menunjukkan terhadap akibat hukum tidak dilaksanakan Rapat Umum Pemegang Saham Tahunan hanya berdasarkan kepada kewenangan pemegang saham untuk mengajukan rapat, pengenaan sanksi terhadap pihak internal pun tidak jelas dicantumkan dalam peraturan perundang-undangan dan peran Notaris yang sangat diperlukan sebagai jabatan yang dipercaya oleh masyarakat dianggap paham hukum dan seharusnya lebih memahami Perseroan Terbatas sehingga dapat membantu meningkatkan terlaksananya Rapat tersebut dengan melakukan upaya untuk meningkatkan pemahaman dan kesadaran masyarakat betapa pentingnya pelaksanaan Rapat Umum Pemegang Saham Tahunan pada Perseoran Terbatas Tertutup.
