ÚvodJedním z důvodů přijetí Insolvenčního zákona (InsZ) 1 byl pokus posílit využívání sanačních metod řešení úpadku v českém ekonomickém prostředí. V kontextu úpadku podniků je tím myšleno, že od InsZ, který je platný od roku 2006 a účinnosti nabyl 1. ledna 2008, zákonodárce očekával výraznější využívání reorganizace ve srovnání s vyrovnáním, tedy s postupem, který byl zakotven ve starším Zákonu o konkurzu a vyrovnání (ZKV).2 Z pohledu situace na konci třetího čtvrtletí roku 2012 lze konstatovat, že tyto naděje nebyly naplněny. Pokud vezmeme jako východisko celkový počet vyhlášených podnikových úpadků, pak nenacházíme mezi starším vyrovnáním a modernější reorganizací žádný kvantitativní pohyb při využití sanačních metod. Pod souslovím využití sanačních postupů se povětšinou myslí, že úpadek podniku je řešen tak, že podnik dále vyvíjí svoji hlavní podnikatelskou činnost, zůstává přítomen na trhu a kooperuje se svými ekonomickými partnery a to včetně pokračujícího nákupu pracovní síly. Je tedy udržena, třebas nikoliv v původní míře, zaměstnanost. Věřitelé jsou uspokojováni z příštích výnosů a z prodeje aktiv nepotřebných pro hlavní oblast podnikání. Likvidační princip naopak obvykle znamená, že aktiva podniku jsou zpeněžena a věřitelé jsou pak uspokojování v souladu se zákonem. Obvykle se také soudí, že pokud se věřitelé rozhodnou pro konkurz, kloní se k likvidaci podniku dlužníka. Jestliže zvolí reorganizaci, jde o znak pokusu podnik dlužníka sanovat. V praxi však můžeme najít i případy, kdy naopak během konkurzu dojde k prodeji podstatné a životaschopné části podniku dlužníka do rukou nového majitele a to dokonce bez přerušení jeho činnosti a bez propouštění většiny zaměstnanců. Takovým případem bylo například řešení konkurzu loterijní společnosti Sazka. Snadno si lze také představit reorganizaci, kde reorganizační plán představuje likvidaci hlavní činnosti podniku dlužníka a naopak uchování marginálních výrob nebo poskytování služeb.
