Resumo: A divulgação de covenants financeiros é obrigatória por lei apenas quando existe a violação do limite desses covenants. Entretanto, a despeito da não obrigatoriedade legal, boa parte das companhias não divulgam voluntariamente tais limites quando os contratos são firmados, o que reduz o conteúdo informacional de investidores acerca dos contratos de dívida. Este estudo objetivou investigar a relação do detalhamento dos covenants financeiros com o nível de gerenciamento de resultados. A amostra contempla companhias brasileiras não financeiras de capital aberto no período de 2010 a 2018, em um total de 1.288 observações obtidas junto ao Economatica. Detalhes dos covenants financeiros foram obtidos mediante leitura de notas explicativas e nos sites das firmas direcionados a relações com investidores. Para cada uma das três hipóteses de pesquisa realizou-se em um primeiro estágio um Propensity Score Matching como forma de se identificar grupos comparáveis e com probabilidades semelhantes de possuírem, violarem e divulgarem covenants financeiros, respectivamente. Os resultados encontrados apresentam evidências de que a existência de covenants financeiros está associada a maiores níveis de gerenciamento de resultados. Resultados adicionais indicam que empresas que violam tais cláusulas possuem maiores níveis de gerenciamento no ano anterior à violação, e que empresas com maiores níveis de gerenciamento de resultados possuem menor probabilidade de detalharem voluntariamente os limites dos covenants financeiros. Conjuntamente, tais evidências indicam que gestores podem estar se utilizando de gerenciamento para evitar o rompimento dos limites das cláusulas contratuais. Tal fato reforça a discussão sobre os covenants na revisão do CPC 26 no sentido de tornar obrigatório que Sociedades Anônimas divulguem os limites dos covenants financeiros nas notas explicativas.Palavras-chave: Covenants; cláusulas restritivas; divulgação; gerenciamento de resultados.
Purpose -To investigate how the stages of the organizational life cycle influence the probability of violation of financial covenants.Theoretical framework -Companies in different stages of the organizational life cycle present different incentives when assuming a position regarding profitability, investment, dividend distribution, the evolution of sales, indebtedness, strategic planning, information disclosure, and earnings quality, and these factors are directly related with the inclusion and violation of financial covenants in debt contracts.Design/methodology/approach -We used 1,328 observations of 197 nonfinancial Brazilian companies listed on the B3 in the period from 2010 to 2018. The accounting data were collected from the Economatica database and the financial covenant information was obtained from analyzing more than 2,400 company footnotes. To analyze the results, we used logistic regressions with year-controlled data.Findings -The results highlight that companies in the maturity stage present a lower probability of violating some limit stipulated in the financial covenants in their debt contracts than companies in the other stages, that is, introduction, growth, turbulence, or decline.Practical & social implications of research -In regulatory terms, the results presented further reinforce the need to revise CPC 26 (R1), making it obligatory to disclose the limits of restrictive clauses in explanatory notes for corporations.Originality/value -These results extend the literature by presenting evidence that it is not only the turbulence and decline phases that cause operational risks that can culminate in an increased probability of violation of financial covenants, but also the initial introduction and growth phases of companies.
A governança corporativa e os covenants financeiros exercem papéis complementares no monitoramento das companhias na medida em que reduzem os conflitos de interesse entre as partes envolvidas durante a confecção de contratos de dívida. Esta pesquisa amplia essa discussão ao analisar se as companhias brasileiras de capital aberto listadas nos níveis diferenciados de governança corporativa da B3 apresentam menor probabilidade de violarem os covenants financeiros em uma análise ex-post à firmação dos contratos. A amostra abrangeu firmas brasileiras não financeiras de capital aberto no período de 2010 a 2018, totalizando 1.310 observações em painel desbalanceado para 206 empresas. Os dados foram obtidos junto ao Economatica, site da B³ e construção de base própria a partir de informações de covenants constantes nas notas explicativas das respectivas firmas. Para apuração e análise dos resultados, foi realizado teste de média T Student e análise de regressão logística com efeito fixo de ano. Os resultados apresentam evidências de que as companhias listadas nos níveis diferenciados de governança corporativa da B³ apresentam menor probabilidade de violarem os covenants financeiros do que as demais companhias não listadas nos respectivos níveis. Tal evidência sugere que os níveis da B³ podem ser usados como proxy de governança em contextos contratuais em que existem conflitos de interesses entre as partes envolvidas.
Objetivo: A pesquisa tem como objetivo analisar se as companhias brasileiras participantes do Índice de Sustentabilidade Empresarial da BM&FBOVESPA apresentam maior probabilidade de possuírem cláusulas restritivas financeiras em contratos de dívidas. Fundamento: A responsabilidade social corporativa está correlacionada com desempenho financeiro das companhias por apresentarem associação com a rentabilidade e endividamento (Cochran & Wood, 2017), onde as empresas enquadradas no Índice de Sustentabilidade Empresarial da BM&FBOVESPA apresentam menor restrição aos financiamentos e menor endividamento bancário de curto prazo (Andrade, Bressan, Iquaipaza & Moreira, 2012) e, as companhias com concentração do endividamento bancário no longo prazo estão mais suscetíveis às cláusulas restritivas financeiras (Silva, 2008). Método: A amostra composta por 1.550 observações em painel desbalanceado para 233 companhias brasileiras não financeiras de capital aberto no período de 2010 a 2018, sendo dados retirados da base Economática, site da BM&FBOVESPA e notas explicativas das companhias. Foram utilizados os testes de média, correlação de Pearson e análise de regressão linear MQO através do modelo logit controlando por ano. Resultado: Observou-se que as companhias enquadradas no Índice de Sustentabilidade Empresarial da BM&FBOVESPA têm maior probabilidade de possuírem cláusulas restritivas financeiras em seus contratos de dívidas bancárias, validando a hipótese da pesquisa. Contribuições: A evidência complementa a literatura sobre a responsabilidade social corporativa ao relacionar com fatores que inibem os riscos em operações financeiras e auxiliar as companhias enquadradas no Índice de Sustentabilidade Empresarial a pleitearem junto às instituições financeiras a não inclusão das cláusulas restritivas financeiras nas captações de recursos.
Objetivo: Identificar se as companhias brasileiras com alto nível de governança corporativa têm maior probabilidade de reverter os estágios finais do ciclo da vida organizacional. Método: A amostra final contou com 323 observações de 2010 a 2020 em painel desbalanceado de companhias brasileiras não financeiras listadas na B3. Os dados foram obtidos na base Economatica e no site da B3. Foram realizados testes por meio de regressão logística para análise dos resultados. Originalidade/Relevância: Vários estudos analisaram as práticas de governança corporativa adotadas pelas companhias em cada estágio do ciclo da vida organizacional, porém, considerando-se que o ciclo da vida organizacional não tem uma sequência linear (Dickinson, 2011), o presente estudo investigou os efeitos do alto nível de governança na perspectiva de mudança de estágio. Resultados: Os resultados evidenciam que as companhias brasileiras com alto nível de governança corporativa têm menor probabilidade de reverter os estágios de turbulência ou declínio no período t para outro estágio no período t+1, do que as demais companhias. Contribuições Teóricas/Metodológicas: Os resultados demonstram que a utilização dos níveis de governança corporativa da B3 não é uma boa medida como proxy de governança corporativa. Contribuições Sociais/para a Gestão: Tal evidência sugere que os níveis de governança corporativa da B3 não podem ser utilizados pelos credores e investidores como subsídio adicional na avaliação dos riscos, principalmente, para reversão de uma situação de dificuldade econômica ou operacional que é vivenciada pelas empresas nos estágios de turbulência ou declínio.
