ZusammenfassungVor dem Hintergrund der in der Öffentlichkeit vielfach kritisierten und den Steuerzahler teuer zu stehen gekommenen Bankenrettungen rücken in den letzten Jahren Contingent Convertible Bonds (CoCo-Bonds) zunehmend in den Blickpunkt der Finanzbranche. Mit Hilfe von CoCo-Bonds wird eine frühzeitige Rekapitalisierung krisengefährdeter Institute durch eine Inanspruchnahme der Gläubiger ohne staatliche Beteiligung ermöglicht. Die Besonderheit dieser umgekehrten Pflichtwandelanleihen besteht darin, dass bei Eintritt eines im Voraus festgelegten Auslöseereignisses dem Emittenten – und nicht wie gewöhnlich dem Inhaber – das Wandlungsrecht zu einer Umwandlung in Eigenkapital zufällt und so im Bedarfsfall eine Stärkung der Eigenkapitalbasis erreicht wird. Aufgrund ihrer regulatorischen Anerkennung als Eigenkapital sind CoCo-Bonds insbesondere für Kreditinstitute von zentraler Bedeutung. Der vorliegende Beitrag zeigt die generelle Struktur und Ausgestaltung von CoCo-Bonds auf und beleuchtet im Besonderen deren bilanzrechtliche Rahmenbedingungen im Zuge aktueller IFRS Entwicklungen.
